As of August 31, 2024, Aksia advises on over $320 bn and manages $27bn of client capital.Position Overview:Aksia is actively seeking a lawyer to join our Legal & Compliance department. The Legal & Compliance department is responsible for overseeing the legal and regulatory affairs of Aksia Japan, an FSA registered investment advisor with global affiliates. This position will provide compliance and legal support to Aksia’s offices globally with a focus on compliance, investment structuring, and deal work.This position will be based in Aksia’s Tokyo office and will provide compliance and legal support to Aksia’s offices globally.ResponsibilitiesWork closely with investment and operations teams to identify and resolve questions related to compliance and investmentsAssist with compliance monitoring and oversight for registered investment companiesMonitor for regulatory updates, changes and guidance related to registered investment companies and propose policy and/or procedure updates as necessaryNegotiate assignment, participation, subscription, limited partnership and other transactional agreements in connection with investments made by Aksia’s investment management clientsPrepare and negotiate side letters on behalf of Aksia’s clientsAssist with legal structuring and oversight of SMAs, including negotiation of offering documents and ancillary service provider agreementsAssist with project management and oversight of outside counsel engagementsCoordinate with outside counsel regarding registered investment company mattersAssist with ad-hoc compliance and legal workQualificationsA minimum of 3 years of experience as a practicing attorney or paralegal within the Investment Management/Private Funds group of a law firm or an investment companyWorking knowledge of relevant securities rules and regulations, including but not limited to the Financial Instruments and Exchange Act of JapanExperience in private markets fund formationDetail-oriented with strong analytical and problem-solving skills, including project managementNative Japanese speakerStrong writing and communication skillsPositive attitudeTeam playerStrong work ethicIndependent and critical thinking skillsAbility to multi-task effectively
