Task Responsibilities: Minute-Taking & Meeting SupportPrepare agendas, attend Board and Committee meetings, and take accurate and comprehensive minutes. Ensure timely distribution and archiving of minutes and meeting documentation. Maintain a high level of confidentiality and discretion in handling sensitive corporate matters. Corporate GovernanceSupport the Board of Directors and senior management in ensuring compliance with corporate governance standards and internal policies. Monitor and advise on regulatory changes affecting the company’s governance framework. Statutory ComplianceMaintain statutory registers and ensure timely filings with relevant authorities (e. g. , RCS, CSSF, EASA).
Coordinate the preparation and submission of annual reports, shareholder resolutions, and other legal documents. Administrative and Legal SupportLiaise with external legal advisors, notaries, and regulatory bodies. Assist in drafting and reviewing corporate documents, including shareholder agreements, powers of attorney, and internal policies. Record ManagementEnsure proper documentation and archiving of corporate records in compliance with legal and internal requirements. Essential Requirements For The Position: Degree in Law or Business AdministrationAt least 5 years experience in a similar Company Secretary or Corporate Governance role, preferably in the aviation or transport sector.
Strong minute-taking skills with excellent written and verbal communication in English; fluency in French is an asset. Solid understanding of Luxembourg corporate law and regulatory environment. High attention to detail, organizational skills, and ability to manage multiple priorities. Discretion, integrity, and professionalism in handling confidential information. Proficiency in Microsoft Office Suite and document management systems.
