Meridian Finance & Investment Limited is looking for Company SecretaryJob Description / ResponsibilityJob Location: Silver Tower (Level-6), 52 Gulshan Avenue, Gulshan-1, Dhaka.Job ResponsibilitiesOrganize Board Committee Meetings following strict compliance with corporate governance guidelines, Company Law, Financial Institution Act and Bangladesh Bank regulations.Ensuring the company complies with applicable laws, regulations, and corporate governance best practices.Keep up to date with any regulatory or statutory changes and policies that might affect the company and take appropriate action.Assisting the Board of Directors in their duties and facilitating effective communication between the Board and Executive Management.Facilitating communication with shareholders, including organizing annual general meetings, preparing shareholder notices.Maintaining accurate and up-to-date corporate records, including registers of shareholders, directors, and charges.Preparing and filing statutory reports, such as annual reports, with the relevant government authorities within the prescribed timelines.Acting as a liaison between the company, its shareholders, directors, auditors, lawyers, and regulatory authorities.Prepare accurate, complete minutes of meetings and submission to the regulatory authorities and record the same.Keep under close review all legislative, regulatory and corporate governance developments that might affect the Company`s operations, and ensure the Board is fully briefed on these and that it has regard to them when taking decisions.Coordinate with other departments for preparation of Board memos and circulate to the members of the Board of Directors.Maintain good relationship with Regulatory Bodies.To perform IPO related activities when required.To comply any other duties which is assigned by the Board of Directors.Educational RequirementsMastersMinimum Master`s Degree.The professional qualification is desirable (Chartered Secretary).Experience RequirementsAt least 3 year(s)The applicants should have experience in the following business area(s): Financial ConsultantsAdditional RequirementsAt least 3 year(s) experience in the relevant fieldMinimum 3 years relevant experience in the Board Secretariat Department.Law Degree will be an added advantage.Good Communication SkillFamiliar with Business Law or Company Law.Job LocationDhaka (GULSHAN 1)
