Company Secretary and Legal CounselInitial short-term Contract suited to contractor [possibility of ongoing] Hybrid part time 3 to 4 days per week Immediate startExcellent packagePosition PurposeThe role of the Company Secretary is principally responsible for administering the affairs of the Company and managing the business of the Board. The Company Secretary is considered the chief governance specialist within the AASW and is relied upon to provide advice and implement good governance practices.The Company Secretary reports directly to the National Board of Directors through the National President and works closely with the Chief Executive Officer and the Chief Financial Officer to ensure corporate governance and organisational requirements are met.General Responsibilities:Perform duties and responsibilities as Company Secretary required by the Corporations Act, the Company’s Constitution, and other relevant legislation or regulations,Ensure compliance of Board duties and responsibilities under the AASW Constitution, Bylaws and Governance Charter,Carry out other duties related to the corporation administration of the Company,Ensure timely Annual report lodgment with ASIC,Oversee Annual General Meetings,Provide guidance to the Board and Management on various matters (to the extent not otherwise provided by professional advisers), andProvide guidance and direction to the annual National election process.Summary of Qualifications and Skills (see Position Description for detail/priority):A tertiary qualification in Business and/or Law (preferred, not necessarily as a solicitor), Proven experience and ongoing professional development as a Company Secretary or in a similar governance role, Strong organisational and time management skills, Excellent, broad-based leadership skills,Strong written and oral communication skills,High-level stakeholder management skills,Capacity to operate in a mixed suite of IT programs and platforms and work in a Hybrid office work/home context.Please email hr@aasw.asn.au for a copy of the position description or for general information.To be considered for this position, email your Expression of Interest, including a professional bio or CV to hr@aasw.asn.au by 9.00am Monday 27 October 2025 (AEDT); be able to attend interview on Wednesday 28 October 2025 [PM]; and be available to commence by Wednesday 5 November 2025.
