Our global FMCG brands include MONDAY Haircare, Rascals, NOOD, BONKERS, and Gumi Yum Surprise.POSITION OVERVIEWWe are seeking a Company Secretary to lead and manage all corporate secretarial functions across ZURU’s global structure of multiple active entities in 20+ jurisdictions. This role is pivotal in ensuring compliance with statutory and regulatory obligations, strengthening governance processes, and serving as the key liaison between ZURU, external co-sec providers, and regulatory bodies.The Company Secretary will also support our Legal and Finance teams on corporate governance matters, including the drafting of resolutions, preparation of board packs, and accurate recording of minutes.POSITION IMPACTThis role plays a critical part in safeguarding ZURU’s global reputation and operational integrity by ensuring that entities remain compliant across multiple jurisdictions. Effective governance and accurate record-keeping will support smooth cross-border operations, reduce compliance risks, and strengthen stakeholder confidence. In the long term, the role will help streamline ZURU’s corporate secretarial function, reduce reliance on external providers, and build scalable governance processes to support growth and restructuring initiatives.If this sounds like you, read on!Roles & ResponsibilitiesManage the statutory compliance of multiple active entities across 20 jurisdictionsAct as primary point of contact with local corporate secretarial service providers worldwide, ensuring timely filings and complianceMaintain statutory registers, entity records, and governance documentation in an accurate and up-to-date mannerPrepare and coordinate board and shareholder meetings, including drafting agendas, circulating papers, and compiling board packsDraft board and shareholder resolutions, and take minutes of meetings, ensuring high-quality governance documentationSupport legal and tax teams with corporate structure changes, reorganisations, and ad hoc compliance projectsMonitor changes in relevant legislation and governance practices across key jurisdictions, providing guidance on impactDevelop and implement streamlined processes for entity management, including digitalisation of co sec recordsAct as governance advisor to senior management and directors on statutory and regulatory obligationSkills & ExperienceYou are a Qualified Company Secretary (e.g., ICSA/CGI) or equivalent corporate governance/legal qualification preferableMinimum 5 years of corporate secretarial or governance experience, preferably in a multinational group settingStrong knowledge of statutory compliance and entity management across multiple jurisdictionsExcellent drafting and communication skills in EnglishStrong ability to prepare clear, concise governance documentsHighly organised, detail-oriented and an active-listener You are comfortable managing multiple stakeholders and external providers in different time zonesYou have strong interpersonal skills and can manage multiple prioritiesYou are based in Auckland and have working rightsLIFE@ZURUAt ZURU, we have cultivated a high-performing culture that encourages excellence.
