A prestigious Top 10 Am Law firm with an internationally renowned corporate practice is seeking a highly skilled and motivated Mid-Level Corporate Capital Markets/Securities Associate to join their dynamic team. This role offers the flexibility of working hybrid from the San Diego office or fully remote. This is a fantastic opportunity to work on cutting-edge transactions and advisory matters for a diverse portfolio of leading public companies, playing a vital role in high-stakes corporate finance and governance. Responsibilities: Lead and manage all aspects of public and private securities offerings, including initial public offerings (IPOs), follow-on offerings, registered direct offerings, and private placements (e.g., Rule 144A and Regulation S).Provide strategic counsel to public company clients on complex matters related to ongoing securities regulation and compliance, including reporting obligations under the Securities Exchange Act of 1934 (e.g., Forms 10-K, 10-Q, 8-K, and proxy statements).Advise boards of directors and senior management on best practices in corporate governance, including NASDAQ and NYSE listing standards, ESG matters, and fiduciary duties.Draft and negotiate transaction documents, including underwriting agreements, registration statements, and various ancillary agreements.Conduct and manage due diligence investigations in connection with corporate and securities transactions.Collaborate effectively with partners, senior associates, client representatives, and opposing counsel to drive successful transaction outcomes.Mentor junior associates and contribute to the firm's knowledge management initiatives. Qualifications Minimum of 4+ years of direct, relevant experience practicing in Capital Markets and Securities law.Juris Doctor (J.D.) degree from an accredited law school.Admitted to practice and in good standing with the State Bar of California.Direct and applicable experience from a highly regarded Am Law 100 firm or significant, relevant experience from the U.S. Securities and Exchange Commission (SEC).Exceptional drafting, analytical, and communication skills (both written and verbal).Proven ability to manage multiple complex projects simultaneously and meet tight deadlines.
