This is a demanding role involving long hours but carrying commensurate financial rewards, and which will offer every opportunity to demonstrate your long-term potential.Drafting and negotiating transactional documentation including:Complex memoranda and articles of association and other equity documentsComplex legal opinions relating to corporate/finance transactionsComplex security documentation such as equitable and legal mortgages for high value financing transactionsSale and purchase agreementsLiaising with registered agents with regards to filings in connection with corporate and finance transactions involving BVI entitiesDirector client and onshore counsel contactOverseeing the progress of the incorporation of entities in connection with major transactionsUndertaking research into legal and regulatory questionsDrafting memoranda of advice on legal or regulatory questionsProviding a first point of contact for clients when the partner is out of the officeLeading non-major client transactions of a corporate and finance natureProviding some support of a corporate or finance nature to partners in connection with the investment funds practiceCoordinating search requests and reviewing resolutions and memorandum and articles of association for the purposes of the firm providing legal opinionsAdvising on corporate legal documents including share charges, instruments of transfer, resolutions, memoranda and articles of association, shareholders' agreements and other related documentationProviding clear, concise, and commercially-focussed legal advice to clients in all assigned corporate and finance law mattersPlaying a key role in the successful completion of corporate and finance law matters for clients of the firmProject managing all legal aspects of corporate and finance law matters in a timely mannerPlaying a key role in managing client relationships on a day-to-day basisAssisting in business development for the firm, including the creation of client updates for publication and presenting at industry and firm seminarsParticipating in the firm's internal knowledge-exchange and generation programmesEnsuring that all time recording and client billing activities are completed accurately and on timeEXPERIENCEWhat You BringApplicants should have highly relevant experience in general corporate matters and be looking for long-term career with the Maples Group. Candidates must have 2 - 6 year's experience and have completed a minimum of a 2-year training contract. Both experience and training should have been completed with a leading law firm in a major onshore or offshore jurisdiction. Outstanding academics are a must.This post requires significant attention to detail, professionalism, ability to multi-task, and excellent organisational, prioritisation and communications skills. In addition, the successful candidate will be required to adhere to internal policies and procedures. A successful candidate's qualifications and experience will include the following:2 - 6 years' post-qualification experience as a corporate or finance lawyer, ideally within a top-tier law firm in the British Virgin Islands, England or Ireland that has externally-recognised expertise in corporate and financeExperience of drafting and negotiating corporate and finance agreementsStrong transactional experienceA strong academic background, in addition to excellent written communication and drafting skillsOutstanding technical skills in all areas of corporate and finance law, and in particular in drafting bespoke suites of transaction documentsThe ability to build relationships with clients and colleagues, and work well in a team environmentMust be admitted to practice law in the British Virgin Islands, England and Wales, Scotland, Northern Ireland or Ireland.BENEFITS & REWARDSThe most enduring professional relationships are reciprocal relationships.
