Corporate Board Secretarial SpecialistNew Zealand (Auckland office)HybridWe are looking for a Corporate Board Secretarial Specialist (IC2) to join our New Zealand team. This role provides corporate secretarial services to external clients, supporting directors and shareholders with governance, compliance, and regulatory obligations. You will play a key part in preparing agendas and minutes, maintaining statutory records, and ensuring filings are completed accurately and on time.Some of the things you’ll be doing:• Coordinate and manage corporate secretarial requirements for clients, ensuring compliance with the Companies Act and related regulations.• Support board and shareholder meetings – draft agendas, prepare packs, record minutes, and track action items.• Maintain company records including statutory registers, resolutions, director/shareholder changes, and annual returns.• Assist with company incorporations, deregistration, and filings with the NZ Companies Office.• Support AML/CFT compliance requirements (CDD/KYC, annual file reviews, reporting obligations).• Liaise with directors, clients, and stakeholders to provide timely governance support and ensure quality service delivery.• Contribute to internal process improvements and support ad hoc governance projects.What technical skills, experience, and qualifications do you need?• Law or Commerce degree with 4–5 years of relevant governance or company secretarial experience.• Solid understanding of the NZ Companies Act 1993, Limited Partnership Act 2008 and governance best practice.• Ideally some exposure to AML/CFT regulations and compliance requirements.• Strong organisational skills – able to manage multiple deadlines independently.• Excellent communication skills and confidence dealing with directors and senior stakeholders.• Proactive, detail-oriented, and service-minded.• Membership (or working towards) with the NZ Governance Institute or equivalent is an advantage
