If so, we invite you to consider joining our Sustainability and Impact team as a Corporate Governance Director.Impact Fund Denmark is Denmark’s Development Finance Institution. We aim to be a best-in-class impact investor by making commercial private sector investments that support the green transition, as well as building just and inclusive societies in developing countries and emerging markets. Impact Fund Denmark has a strong focus on creating sustainable and responsible businesses, which generate measurable social, economic and climate impacts as well as solid financial returns. Impact Fund Denmark makes direct equity and debt investments using own funds and as a fund manager for several investment funds, all with a strong focus on impact investing. All investments must support the green transition and contribute to poverty alleviation and reduced inequality. The new Corporate Governance Director will join the Sustainability and Impact Team, which consists of 13 professionals based in Copenhagen, Nairobi and New Delhi. The Corporate Governance Director will be based in Copenhagen and will take on a first line function and support Impact Fund Denmark’s global investment portfolio.The jobIFDK views the role as Corporate Governance Director (CG) as much more than compliance. The role will support IFDK’s global investment portfolio and pipeline development.The CG Director will maintain and implement IFDK’s CG toolbox and support our investment activities from scoping through due diligence, active ownership, and exit. Focus will also be on ensuring investment colleagues are properly trained to take up board seats in our portfolio companies either by providing training or ensuring the right external training is taken.Our focus on CG increases the pool of potential investments by derisking high-risk projects and strengthening investees’ governance and risk management. The CG Director will support the deal teams where necessary in advising on corporate governance for our investee companies.While the role is a standalone role within our S&I team, the CG Director supports and collaborates with other in-house functions related to Business Integrity (first and second line).CG will include the following topics:DD of the system of rules, practices, and processes of potential investees by which they are directed and controlled.Assessing the relationships between various stakeholders, including shareholders, management, and the board of directors.Improving governance in family-owned businesses.Training of Impact Fund Denmark’s board representatives in the investments.In Impact Fund Denmark we attach great importance to good teamwork and collaboration, maintaining a positive atmosphere and having fun together. Strong team skills, contributing to team success and to a constructive, positive and collaborative work environment. Comfortable upskilling colleagues and stakeholders at all experience levels allIn addition to this:5-8 years Corporate Governance experience in addition to other relevant work experience for the role, with a proven track record in assessing and strengthening corporate governance in investments.
