Excellent salary and benefits in a thriving cultural environment where only candidates based in, or willing to relocate to, Ho Chi Minh City, Vietnam, will be considered.On behalf of our client, we are seeking a seasoned professional to lead the Company Secretarial and Legal functions for our banking client. This role is critical in ensuring the organisation meets its regulatory, governance, and legal obligations both locally and in alignment with group-level standards. The successful candidate will play a key advisory role to the leadership team and Board, driving excellence in governance, compliance, and legal risk management.What you will do:Lead all company secretarial functions, including preparation, execution, and documentation for Board and Council meetings.Coordinate the full lifecycle of corporate meetings: scheduling, compiling agendas, drafting resolutions, recording minutes, and tracking post-meeting actions.Maintain statutory registers and ensure all filings and disclosures comply with Vietnamese laws and relevant Australian regulatory expectations.Liaise with government authorities, regulatory agencies, and external auditors on compliance and corporate governance matters.Draft, review, and support the preparation of Director’s Reports, corporate filings, and annual governance documentation.Establish and continuously improve internal governance processes in collaboration with the legal and compliance teams.Provide strategic guidance on corporate governance best practices to senior leadership, including risk management, documentation standards, and ethical conduct.Collaborate cross-functionally to support legal audits, ensure adherence to corporate law, and identify compliance gaps.Mentor and advise Directors and senior stakeholders on governance responsibilities, duties, and evolving legal obligations.Support the professional development of Board members through training on governance principles and emerging legal issues.What you will need:Strong ability to influence, engage, and partner with senior leadership and external stakeholders.Demonstrated leadership in driving governance excellence in a regulated or multinational environment.High level of integrity, discretion, and sound professional judgment.Proven ability to operate in dynamic, cross-functional teams with a strong process orientation.Confident decision-making and ability to challenge the status quo constructively.Experience RequirementsLegally qualified professional, preferably with formal Company Secretarial training or accreditation.Substantial in-house experience leading governance or legal functions in the financial services or banking sector preferred.Prior exposure to corporate governance in a global organisation with complex regulatory obligations.Experience supporting or reporting to Boards, Committees, and Executive stakeholders.Familiarity with managing legal compliance matters, including risk assessments and audits.Previous responsibility for convening and coordinating Members’ Council or equivalent governance bodies.QualificationsLaw degree (mandatory); Company Secretary certification or related post-graduate governance qualification (preferred).This is a rare opportunity to take ownership of CoSec & Legal leadership in a high-impact role within a complex, regulated environment.
