This role will be central in managing, negotiating, and executing aircraft sale, lease, and financing transactions across a global portfolio. The successful candidate will play a key role in ensuring legal compliance, risk mitigation, and transactional efficiency in a fast-paced commercial environment. Key ResponsibilitiesTransaction Management and Documentation:
Lead the legal structuring, negotiation, and execution of aircraft sale, lease, purchase, novation, and financing transactionsDraft, review, and negotiate a broad range of aviation-related legal documents, including aircraft lease agreements, purchase and sale agreements (PSAs), bills of sale, security documents, side letters, and conditions precedentProvide legal oversight and lead the legal angle through the full transaction lifecycle:
from LOI/MOU through closing and post-closing mattersCoordinate with internal commercial, technical, risk, and finance teams to ensure alignment across all deal aspectsLead and manage transaction closings from legal perspectiveLegal Advisory And Risk ManagementAdvise the commercial and management teams on legal risks and implications of proposed transactions, structures, and jurisdictional requirementsMonitor legal and regulatory developments in aviation, leasing, and finance sectors globally, implement best practices in various transaction paperworkSupport compliance with export controls, sanctions regimes, and jurisdiction-specific aviation regulationsEnsure proper legal due diligence is undertaken, including corporate authority, lien checks, KYC, and sanctions screeningExternal Counsel And Stakeholder CoordinationManage external legal counsel efficiently on complex transactions or litigation matters, ensuring quality, cost control, and timelinessLiaise with lessees, OEMs, financiers, insurers, and government authorities as needed for any relevant legal mattersParticipate in cross-functional projects and internal legal initiatives to improve legal processes and transaction executionCandidate ProfileQualificationsQualified lawyer (common law or civil law jurisdiction) with no less than 3 years post-qualification experienceStrong academic background in law (LLB or JD; LLM an advantage)ExperienceProven track record of working on aviation leasing, trading, or aircraft finance transactions (e.
