Verisure is seeking a highly motivated Group Corporate Governance and Transactions Legal Counsel to join our global legal team, reporting to the Chief Legal Officer. During a period of rapid and profitable growth, you will shape how Verisure builds, scales, and professionalizes its corporate governance standards to meet—and exceed—the expectations of a publicly listed company. You will ensure that MAR compliance is fully integrated into the Company’s operations and lead the Legal function in supporting transactions, including refinancing, across its 17 countries.Your mission is to strengthen and lead Group-wide corporate governance processes, ensure compliance with capital markets obligations, and act as legal lead on strategic transactions. You will play a key role in establishing the governance framework, structuring processes, and embedding best practices across markets. Your responsibilities will range from supporting the Disclosure Committee and overseeing share-dealing compliance, to driving board and AGM processes, managing legal entities, and leading legal support for transactions and refinancings. Highly visible and global in scope, the role offers both the platform and autonomy to influence outcomes at scale—strengthening our governance for today, and building a legal model fit for the future.Main responsibilitiesInside Information & Share Dealing ComplianceAdvise and support the Disclosure Committee on Inside Information matters.Maintain and administer the Insider List / Log Book to ensure full compliance with the Market Abuse Regulation (MAR).Support the Chief Legal Officer on Share Dealing Policy topics and related governance requirements.Board & AGM GovernanceEnsure Annual General Meetings (AGMs) are planned and executed in line with the Company’s Articles of Association and statutory requirements.Oversee the scheduling and management of Board meetings to ensure compliance with governance documents and regulatory obligations.Legal Entity Management & Corporate GovernanceLead the Group’s legal entity management framework, ensuring accurate, up-to-date information and timely statutory filings.Support country Heads of Legal in managing governance of local entities, driving alignment and best practices across the Group.Manage the incorporation of new entities in collaboration with other functions to meet evolving business needs.Maintain accurate corporate governance records and documentation for disclosure and filing purposes.Handle requests related to Ultimate Beneficial Ownership (UBO) disclosures.Transactions LeadershipAct as the Group Legal lead on strategic transactions, including refinancings and other corporate projects, providing expert guidance and execution support.Candidate profileExperience and QualificationsWe are looking for a top performer: proactive, solution-oriented, and focused on delivering real value. Someone we can truly invest in and grow into one of Verisure’s next-generation leaders.7–10 years’ experience as a qualified lawyer, ideally with a mix of top-tier law firm and in-house roles.Swedish legal qualifications strongly preferred, with experience of Swedish MAR, listing rules, and the Swedish Corporate Governance Code. UK legal qualification could be considered.International experience essential—able to navigate complex, multi-country environments and advise across borders.Solid track record in company secretarial and public market regulation, with hands-on experience supporting boards, AGMs, and disclosure committees.Exposure to and interest in transactional work (e.g. refinancing, joint ventures, M&A).Strong governance mindset, with the ability to design frameworks, codify best practices, and scale processes across multiple jurisdictions.Commercially astute and pragmatic, with the confidence to advise senior stakeholders and balance legal rigour with business needs.Resilient, curious, and adaptable—comfortable operating in high-velocity, international environments.Fluent in English; Swedish or another European language would be an advantage.Location: ideally Stockholm, though London or Geneva may also be considered.CompetenciesProblem Solving and Analytics – strong at structuring complex problems through quantitatively sound analysis, demonstrating exceptional business and commercial judgment.
