This role works closely with executive leadership and plays a key part in strategic decision-making.■Key Responsibilities◆Contract & Strategic Legal Affairs・Draft, review, and negotiate various contracts (MSAs, partnerships, joint research, outsourcing, vendor agreements)・Develop contract strategies and implement risk mitigation measures◆Intellectual Property & M&A・Oversee IP filings, rights management, and maintenance (patents, trademarks, etc.)・Support due diligence and contract negotiations for M&A, joint ventures, and capital alliances◆Strategic & Preventive Legal Affairs・Analyze legal risks across the group and formulate preventive strategies・Advise executives on legal aspects of business strategy and decision-making◆Dispute & Litigation Management・Lead strategy and resolution for litigation and disputes・Select and manage external legal counsel◆Corporate Law & Governance・Research and develop policies related to corporate law・Provide legal support for board and committee operations◆Compliance & Education・Build and promote internal compliance systems・Conduct legal training and awareness programs・Ensure adherence to industry standards and regulationsWhy This Role MattersThis is a pivotal role in CMIC’s transformation from Japan’s first CRO to a global healthcare innovation leader.
