Job Description

The Head of Corporate Secretarial will lead client’s corporate governance and statutory compliance functions for all entities incorporated in, or administered from, Singapore, while coordinating closely with corporate secretarial teams across other jurisdictions.This is a senior leadership role that demands strategic oversight of entity management, governance documentation, and board operations, ensuring alignment with the Group’s regional and cross-border structure.Reporting to the Group General Counsel, the successful candidate will be the Group’s trusted custodian of governance excellence, contributing to the continued growth and integrity of one of Asia Pacific’s most dynamic real asset platforms. The role may also provide additional governance-related advice and support to the Legal team as required.Main ResponsibilitiesCorporate Governance & Compliance OversightLead and manage all corporate secretarial and governance activities for client entities in Singapore and selected offshore jurisdictions (e.g., Cayman Islands, Bermuda, Hong Kong).Oversee the preparation and lodgement of statutory filings, annual returns, and regulatory disclosures.Implement governance frameworks and compliance controls in line with Group policies and external regulatory standards.Ensure timely and accurate maintenance of constitutional documents, board resolutions, and director appointments.Partner with local teams to align governance practices and support cross-border corporate initiatives.Entity Lifecycle ManagementOversee the full lifecycle of entities — from incorporation and restructuring to dissolution.Maintain accurate and updated statutory registers, records, and digital archives.Consolidate group-wide corporate data, including directorships, shareholdings, and structural changes.Strategic Board & Transactional SupportPlan, coordinate, and document board and committee meetings across jurisdictions.Provide governance oversight on share transactions, M&A, and corporate actions, in collaboration with Finance and Legal.Review and validate board resolutions, AGMs, and other governance documentation to ensure full compliance.Manage the proper use of company seals, letterheads, and statutory disclosures per regulatory requirements.Stakeholder Engagement & Risk GovernanceServe as the key point of contact for governance matters relating to Singapore-based entities and liaise with offshore jurisdictions as needed.Address governance and board-related queries with professionalism and agility.Monitor deadlines, escalate risks proactively, and ensure compliance with statutory and internal governance standards.Provide ongoing governance support and advice to the Legal team as required.RequirementsMinimum 10 years of progressive experience in corporate secretarial or governance roles, with strong knowledge of regional regulatory frameworks.Proven leadership in managing complex entity structures, ideally within real assets, financial services, funds management, or other regulated sectors.Experience handling entities subject to licensing or regulatory oversight is advantageous.Professional qualification such as Chartered Secretary or Chartered Governance Professional (or equivalent) strongly preferred.Excellent communication and stakeholder management skills, with the ability to operate effectively in a fast-paced, transaction-driven environment.
