Chair of the Risk Committee – Independent Non-Executive Director (iNED)Location: Middle EastBoard Appointment | Confidential SearchOverviewA high-growth financial services organisation headquartered in the Middle East is seeking to appoint a seasoned Independent Non-Executive Director to serve as Chair of the Risk Committee. This strategic Board-level role is central to the company’s continued evolution following successful growth and investment rounds, with a focus on strengthening enterprise risk management, governance, and regulatory oversight in the lead up to an Initial Public Offering (IPO).Essential: IPO experience & only experience of working with Financial Services regulatory regimes in the UK and/or Middle East regions will be considered.Key ResponsibilitiesLead the Risk Committee, ensuring robust oversight of the organisation’s risk framework, appetite, and controls.Provide independent challenge and strategic guidance to the Board and Executive team on risk-related matters. Oversee the development and implementation of risk management policies aligned with international best practices and regional regulatory requirements.Ensure effective monitoring of financial, operational, cyber, and reputational risks.Support the Board in navigating pre/post-IPO governance obligations and stakeholder expectations.Collaborate with Audit and Compliance Committees to ensure integrated risk assurance.Act as a trusted advisor to the Chair and CEO, contributing to strategic decision-making and Board effectiveness.Candidate ProfileProven experience as an iNED or Board Director within Financial Services, Banking or FinTech IPO environments.Prior leadership of a Risk Committee or equivalent governance body.Direct involvement in a company that has undergone an IPO, with understanding of post-listing risk and compliance dynamics.Deep expertise in enterprise risk management, regulatory frameworks, and governance.Strong strategic and analytical capabilities, with the ability to challenge constructively and influence at Board level.Experience operating in or advising businesses in the capacity of a Main Board Director position is essential.Professional integrity, independence of thought, and a collaborative mindset.CommitmentQuarterly Board and Committee meetings (in-person or virtual).Ad-hoc strategic sessions and stakeholder engagements as required.RemunerationCompetitive Board-level compensation aligned with market benchmarks.Travel and accommodation covered for in-person meetings.
