Job Title : Legal Manager / Senior Legal CounselDepartment : LegalLocation : Corporate Office - MylaporeExperience Required : Minimum 10 YearsReports To : CFORole SummaryThe Legal Manager will be responsible for managing and overseeing all legal matters related to property, corporate, civil, real estate, and intellectual property laws. The incumbent will provide strategic legal counsel to the management, ensure regulatory compliance, mitigate risks, and safeguard the legal interests of the company. Key Responsibilities Property and Real Estate Law: Review, draft, and negotiate lease agreements, sale deeds, MoUs, title documents, and other real estate documents. Conduct legal due diligence of properties, verify titles, encumbrances, and land-use permissions.
Handle land acquisition, lease renewals, property tax, and registration processes. Liaise with external counsels, landowners, and government authorities on property-related matters. Corporate Law & Compliance: Ensure compliance with the Companies Act, FEMA, SEBI regulations, and other corporate governance standards. Draft and vet board resolutions, shareholders' agreements, joint ventures, and other corporate documents. Advise on mergers, acquisitions, business restructuring, and regulatory filings. Assist in secretarial functions in coordination with the Company Secretary. Civil & Contractual Matters: Draft, review, and negotiate commercial contracts, vendor agreements, NDAs, service agreements, etc. Manage and respond to legal notices, represent the company in civil disputes.
Support arbitration and litigation processes and maintain litigation records. Coordinate with external legal counsels for court representations. Trademarks & Intellectual Property: Manage trademark registrations, renewals, and enforcement of brand IP rights. Handle infringements and oppositions related to trademarks and copyrights. Maintain and update the company's IP portfolio in coordination with IP consultants. Risk Management & Advisory: Provide legal opinions and risk mitigation strategies to internal stakeholders. Support audits, investigations, and internal compliance programs. Train internal teams on legal and regulatory changes affecting business operations. Key Skills And Qualifications LLB / LLM from a reputed law school.
10+ years of relevant experience in corporate legal functions, preferably in the manufacturing/FMCG/real estate sector. Strong understanding of Indian laws including property, corporate, civil, and IP laws. Excellent communication, negotiation, and drafting skills. Proven experience in managing external counsels and handling litigation. High level of integrity, analytical thinking, and attention to detail. Preferred Industry Background: FMCG, Manufacturing, Real Estate, Infrastructure, or Corporate Legal Services.
