Job Description
PurposeTo provide specialist legal advice and support in areas of specialisation, with a primary focus on corporate transactions (including all mergers and acquisitions, private equity and banking and finance type transactions) and contracts across various business units/lines within Liberty and its subsidiaries, including proactively supporting the Head of Legal: Corporate Transactions and Contracts.Key ResponsibilitiesProviding legal support and advice to the Liberty group and its subsidiaries on all corporate transactions and contracts.Maintenance of expert knowledge on relevant legislative amendments, industry best practice and provision of proactive and holistic advice and solutions to relevant stakeholders.Proven experience in conducting cross-border mergers and acquisitions and general corporate matters.Experience dealing with the JSE Listing Requirements and the JSE Debt Listing RequirementsInteraction and engagements with regulators various jurisdictions (e.g. competition, banking, prudential and financial services regulation).Required ExperienceAt least 5-8 years’ post qualification experience spent in a corporate and commercial law firmAn in-depth knowledge and detailed understanding of mergers and acquisitions (both in country and cross-border) and general corporate and commercial transactions in the financial services sectorStrong drafting skills in respect of both commercial contracts of varying types including specialised commercial contracts in the context of corporate transactions and general commercial contractsTrack record and experience in managing corporate transactions from inception to closing; andExtensive experience, expert knowledge and interpretation of relevant financial services legislation.Minimum QualificationsAn admitted attorney or advocateLLB or higher QualificationSkillsCommercial thinking and business acumen with an awareness of commercial objectives of the organisation.Expert working knowledge of legislation and regulations impacting the financial services sector.Ability to effectively manage working relationships with team members and internal clientsAbility to make quality decisions under pressure and manage corporate transactions in parallel.Ability to provide technical guidance, when required.Ability to provide assistance to legal dispute resolution team to resolve disputes.
