Role Overview:Safqah is growing and needs a hands‑on, bilingual Legal Counsel to own core legal work with minimal supervision. You’ll be the primary in‑house legal owner, reviewing every legal document, managing outside counsel across matters, and acting as Board Secretary to keep governance tight and timely. Signature authority is limited per Delegation of Authority, but legal review is mandatory for all documents.Key Responsibilities:Board Secretary duties: agendas, minutes, resolutions, registers; maintain corporate records and accuracy of the archive/VDR.Corporate housekeeping: CR updates, GA/BoD actions, ESOP/option paperwork coordination.Draft/mark‑up/negotiation support for financing documents (term sheets, intercreditor, security packages, pledges/guarantees), coordinating closely with Finance and outside counsel.Own the contract lifecycle end‑to‑end (intake, drafting, negotiation, execution, DocuSign, archiving, metadata).Drive KPI‑driven compliance for filings, license renewals, covenants, and obligations tracking.Lead/coordinate DPAs, data‑sharing agreements, privacy notices, and vendor assessments (PDPL awareness expected; specialist outside counsel engaged when needed).Select, brief, and manage external firms across specialties; control quality, timelines, and budgets. Maintain matter trackers and a decision log.Maintain template pack, playbooks, and clause library in Notion; ensure everything is searchable and version‑controlled.Qualifications:Exposure to PDPL (consents, DPAs, cross‑border assessments).Experience across financing structures, security/pledges, and intercreditor dynamics.Familiarity working with regulators via external counsel (e.g., CMA/REGA).Real‑estate/fintech/startup environment exposure.Experience: 6–8 years PQE with strong in‑house or top‑tier firm experience in KSA.Bilingual (Arabic & English) with drafting and negotiation in both.Depth in Companies Law and Civil Transactions Law; excellent commercial contracting judgement.Demonstrated experience managing multiple matters and outside counsel directly.Comfortable owning board secretarial work and corporate housekeeping.
