Job Description

Role OverviewThe Legal Counsel will be responsible for managing all legal, compliance, and due diligence matters across the organization. This includes employee issues, corporate documentation, contracts, gym owner agreements, franchise policies, labor laws, disputes, and risk mitigation.The role requires a proactive, detail-oriented, and business-minded legal professional who can work closely with leadership, HR, Operations, and Finance.Key Responsibilities1. Employee Legal MattersHandle employee-related legal issues including misconduct cases, terminations, absconding, disputes, and notices.Ensure compliance with labour laws, PF/ESI norms, POSH guidelines, employment contracts, offer letters, NDAs.Draft and manage HR policies and ensure legal alignment.2. Corporate Compliance & GovernanceManage company-wide compliance related to:GST filings supportROC compliancesContract renewalsLicenses & permits for fitness centersEnsure legal readiness for audits and corporate inspections.Maintain documentation for intellectual property, trademarks, and brand usage rights.3. Due Diligence for Gyms & Business PartnersConduct legal due diligence before onboarding gym owners, franchise partners, vendors, or real estate properties.Verify ownership documents, lease agreements, licenses, trade permits, and liabilities.Ensure all centers operate within regulatory and municipal norms.4. Contract Drafting & ManagementDraft, review, and negotiate:Gym partnership agreementsVendor contractsService agreementsTechnology/Software agreementsFranchise MoUsMarketing & brand collaboration agreementsMaintain a contract repository and track renewals.5. Dispute Resolution & Litigation HandlingManage pre-litigation matters and coordinate with external legal counsels.Oversee consumer complaints, gym member issues, and corporate grievances.Represent the company in legal notices, settlements, and negotiations.6. Risk Management & AdvisoryIdentify potential legal risks in operations, business expansions, and new projects.Advise leadership on regulatory changes and compliance updates.Develop proactive legal frameworks for safe business scaling.Key Skills & CompetenciesStrong knowledge of corporate law, labour law, commercial law, and contract law.Proven experience handling employment legal cases.Expertise in due diligence, agreements drafting, and negotiations.Business-focused legal mindset with the ability to work cross-functionally.Excellent communication, documentation, and advisory skills.Strong ethical judgment and confidentiality maintenance.Ability to handle multiple legal matters in a fast-paced environment.Qualifications & ExperienceLLB (mandatory); LLM or corporate law specialization preferred.3–7 years of experience as Legal Counsel / Corporate Lawyer / In-house Legal Specialist.Experience in startups, retail, franchise, real estate, or corporate service industries is a strong advantage.Experience managing employee disputes and corporate compliance is essential.
