Job SummaryWe are looking for an experienced to lead and oversee all legal, regulatory, and governance matters. This role requires expertise in maritime law, offshore industry regulations, and capital market compliance. The Legal Executive will act as the company’s key legal advisor, ensuring compliance with stock exchange listing requirements, corporate governance best practices, and complex offshore operational contracts.Key ResponsibilitiesAdvise on legal aspectsDraft, review, and negotiate contracts such as charter parties, shipyard agreements, joint ventures, offshore service contracts, etc.Ensure compliance with maritime regulations (IMO, flag state, cabotage laws) and capital market regulations (OJK, IDX, or relevant authorities).Manage corporate governance matters including Board and shareholder meetings, disclosures, and statutory filings.Oversee regulatory reporting to the stock exchange, securities regulators, and other government bodies.Monitor and advise on changes in maritime law, securities law, environmental regulations, and corporate law.Handle dispute resolution, arbitration, and litigation, including liaising with P&I clubs and external counsel.Support international M&A, joint ventures, capital raising, and financing transactions.Develop and deliver legal and compliance training for employees and management.QualificationsBachelor’s degree in Law (LL.B); Master’s degree in Law or Maritime Law is an advantage.Minimum 8–10 years of legal experience, with at least 5 years in the marine/offshore or shipping industry and experience in a listed/publicly traded company.Proven track record in managing cross-border transactions and multi-jurisdictional complianceIn-depth understanding of maritime laws, offshore industry standards, and capital market regulations.Proven experience in drafting and negotiating marine-related and corporate contracts.Familiarity with corporate governance codes, public company reporting obligations, and investor disclosure requirements.Strong leadership, negotiation, and analytical skills.Excellent command of English, both written and spoken.Preferred Skills & CompetenciesExperience working with IDX or other stock exchanges.Knowledge of public company governance frameworks and maritime arbitration practices.Proven track record in managing cross-border transactions and multi-jurisdictional complianceStrong stakeholder management skills, including dealing with regulators, investors, and joint venture partners.High ethical standards, integrity, and professionalism.
