Job Description

Key Responsibilities 1. Drafting and Reviewing Contracts Draft, review, and comment on a wide range of contracts, including Non-disclosure Agreement, Memorandum of Understanding, Collaboration Agreement, Bidding Agreement, Consortium Agreement, LOI/EPC/EPCI contracts (main contracts, engineering and consultancy agreement, services subcontracts, supply chain contracts), and similar agreements in oil & gas and wind power projects. Lead and manage contract negotiation sessions with clients, subcontractors, suppliers, and consortium partners.Ensure negotiation strategies aligned with the company’s commercial objectives and risk management principles. Develop subcontract templates and negotiate with subcontractors to ensure consistent legal protection and contractual efficiency.Support bidding teams in legal risk identification, contractual positioning and risk allocation during bid preparation. 2. Legal Advisory Provide timely, practical, and business-oriented legal advice to management, project managers, and functional heads for any legal-related matters that may arise during business operation. Advise on corporate, investment, construction and labor law issues affecting the company’s operations.Interpret and apply Vietnamese law principles to ensure compliant and commercially sound decision-making. Keep management and relevant divisions informed on regulatory updates, legal risks, and policy developments affecting the energy sector. 3. Compliance & Governance Review and comment on governance documents, internal policies and provide training programs to promote ethical and lawful conduct across the organization. Scrutinize and advise on documents required by management in order to ensure compliance with internal governance standards or internal regulations, including delegation of authority, document control, and approval processes. 4. Dispute & Claim Management Proactively manage potential and actual disputes, including contractual claims, regulatory investigations, and litigation/arbitration matters. Liaise with and supervise external counsel to ensure cost-effective and high-quality representation. Prepare and review dispute-related documentation (claims, notices, responses, position papers). 5. Leadership & Team Development Lead, mentor, and develop members of the Legal Team, ensuring high standards of professionalism and accountability. Establish efficient systems for document management, contract tracking, and legal reporting. Foster a proactive, solution-driven culture within the legal function aligned with company objectives. Requirements Bachelor’s or higher degree in Law from a recognized university; additional qualifications in international business law or energy law are an advantage. Minimum 7 years of relevant legal experience, preferably in EPC/EPCI contracting and project management. Demonstrated experience with EPC/EPCI contracts (commenting, drafting, and negotiating) in oil and gas and/or renewable energy sectors. Strong knowledge of Vietnamese law and good understanding of English law principles. Excellent skills in negotiation, problem-solving, and risk management. Fluency in both Vietnamese and English (written and spoken).
