M&A Lawyer A leading venture capital firm is seeking a proactive Legal Counsel to strengthen its dynamic team. The role will focus on supporting venture capital transactions, with exposure to private equity and M&A. The successful candidate will be instrumental in coordinating investments and reviewing legal documentation for portfolio companies. This role offers the opportunity to directly contribute to high-impact investments and innovative growth stories.Your ResponsibilitiesReview, draft, and negotiate documentation for VC, PE, and M&A transactions.Analyse and validate complex cap tables during financing rounds.Confidently explain dilution, pre/post-money valuations, and ESOP pool mechanics.Collaborate with internal teams and external counsel to drive efficient deal execution.Advise on governance and legal matters for portfolio companies.Support fund structuring and high-profile transactions.Your ProfileSolid track record in VC, PE, or M&A, ideally with top-tier law firm or investment exposure.Strong grasp of corporate and transactional law.Demonstrated expertise in fund structuring and deal execution.Excellent command of English, with sharp analytical and communication skills.Detail-driven, resourceful, and able to thrive under tight deadlines.If this opportunity feels right for you, weâd love to hear from you.Kindly note that a valid Luxembourg work permit is required for consideration.
