Job Description

This opening is for a Contracts Manager position in the Legal Department on-site based in Fremont, CA at Mattson Technology. This is an opportunity for an experienced contracts professional who understands the complexities of every contract, and uses business, legal, financial, operational and organizational acumen to help the company grow, scale, and succeed. This role will be responsible for managing all aspects of the contracts administration process including managing the company’s contracts management system (CMS).

The Contract Manager will perform a variety of activities associated with the legal department, and will be relied on to maintain a strong relationship and act as the intermediary to legal counsels, management, business teams, vendors, and customers. A successful candidate will be detail-oriented who also appreciates the big picture and enjoys interacting with multiple teams globally across a business with a wide variety of commercial contracts. We are a small, versatile and engaged team, looking for someone who can perform a variety of functions, enjoys tackling problems by leveraging industry experience to offer viable and practical solutions.

Key Responsibilities: Identify and summarize key points of simple and complex agreements for legal counselWork with in-house counsel in reviewing and negotiating a variety of complex and standard agreements including without limitation: MSAs, SOWs, NDAs, supplier and vendor agreements, joint development agreements etc.

Review standard terms and conditions on a global basis and update as necessary to ensure terms are consistent with current business practices and processesDraft correspondence, letters, and other communications and noticesPerform all aspects of the contract administration function including intake of contract requests, obtaining approvals, tracking progress, obtain signatures, preparing and sending hardcopies via courier, track and provide status updates to stakeholdersEnsure contracts are submitted through the correct workflow and provide training when appropriateSecure all necessary approvals and ensure that standard company policies and procedures are followedPrepare a variety of reports, correspondence, and related documents in preparation for contract metrics reportsTrack contract expiration dates and work with business stakeholders to ensure contracts are renewed or terminated on a timely basisManage contracts within CMS and hard files.

Upload backlogged contracts to the database, file and organize historical documents, and manage the implementation of database upgradesDesign, implement and maintain processes that improve contracts managementDevelop, organize and maintain Contracts PlaybookAssist legal counsels with ad hoc requests and special projectsManage legal department invoice administrationProvide administrative support to the IP departmentOther duties as assignedRequirements:

Bachelor's Degree (JD preferred but not required)5+ years relevant experience in a large manufacturing organization supporting sales, procurement, or product developmentExcellent written and verbal communications skillsExtensive experience with CMS – Ironclad preferredProficient knowledge and use of Word, Excel, Adobe Acrobat, PowerPoint, SharePoint, DocuSignProject management experience a plus but not requiredSalary Range: $120,000-$150,000 (Bay Area, CA based candidates)We value people as individuals and our dedication is to reward people competitively and equitably for the work they do and the skills and experience they bring to Mattson Technology.
