Job Description

Role DescriptionWe are looking for a mid-level associate to join our Corporate & Commercial practice, advising major Turkish and international clients on a wide range of corporate transactions and day-to-day corporate governance matters.Key ResponsibilitiesDraft board of directors’ resolutions, conduct a general assembly process, prepare required documents for the same including invitation letters, meeting minutes, attendance sheets, and registry filings.Oversee general corporate housekeeping, conduct notary procedures and trade registry applications, and maintain board resolution books, general assembly records, and share ledgers in compliance with legal requirements.Advise on and prepare all required documents and step plans for corporate structuring matters, e.g. demerger, merger, capital increase, capital decrease, company incorporation, liquidation, and share transfers.Prepare, review, and negotiate commercial contracts and intra-group agreements.Coordinate with external counsel in Turkey and abroad, monitor deliverables, and review legal memoranda and manage the day-to-day advisory questions.Provide proactive guidance on corporate governance, regulatory compliance, and legal obligations.Support partners and clients in cross-border corporate transactions, due diligence processes, and corporate documentation.Maintain direct communication with board members and senior executives of listed companies with discretion and professionalism.QualificationsLaw degree from a reputable university in Türkiye (LL.M. is an asset).Admitted to a Bar Association in Türkiye.Four to seven years of experience in corporate/commercial law at a reputable law firm.Solid understanding of corporate governance, company law, and commercial contracts.Strong analytical and problem-solving mindset; ability to manage multiple workstreams simultaneously.Excellent command of written and spoken English; candidates with a valid IELTS (7.5+) or TOEFL (110+) score are preferred. High level of integrity, attention to detail, and commitment to professional excellence.Presentable, disciplined, and comfortable interacting with senior stakeholders and international clients.Preferred AttributesFamiliarity with foreign law frameworks (particularly UK/US) and international transaction practice.Proactive attitude and interest in continuous learning, teamwork, and cross-practice collaboration.Why Join UsYou will be part of a collaborative team where professional excellence, initiative, and growth are highly valued.
