Role SummaryThe Non-Executive Director will contribute an independent view and constructive input to the Board, helping to ensure effective oversight of strategy, risk, financial stewardship, and compliance. The role is part-time and ad hoc, with workload varying to align with Board/Committee meetings, AGMs, resolutions, and regulatory requirements.Job Specific ResponsibilitesBoard dutiesAttend and contribute to scheduled Board /committee meetings and the AGM.Review and approve Board papers, minutes, and written resolutions on an as-needed basis.Offer independent view on material strategic or financial decisions presented to the Board.Provide high-level guidance on treasury, tax, and financing matters relevant to Singapore entity structures and international operations, considering withholding taxes, Bareboat charters and Interco loan agreements, etc.Finance administration (for candidates with a Finance background)Provide a tertiary review of periodic financial statements at a high level for yearly filings.Able to provide guidance on financing or treasury matters only when board approval is required.Risk, Compliance, and ControlsConfirm that the management/company secretary maintains statutory filings, registers, and governance processes.Approve policies/resolutions required for ongoing complianceNo routine operational monitoring.Stakeholder governanceParticipate in shareholder meetings as required; respond to targeted questions on governance/finance.Support simple, practical disclosures and compliance statements where applicable.Engage with relevant stakeholders at AGMs and, where deemed appropriate.Time CommitmentApproximately 20 days per year (variable), to include:Quarterly Board meetings (and additional meetings as required)Audit/Finance Committee meetings (if appointed)Annual General MeetingAd hoc written resolutions, regulatory approvals, and urgent mattersSite/operations briefings as appropriate (virtual or in-person)QualificationsPreferred:Prior board or senior executive experienceFinancial acumenKnowledge of corporate governance best practicesHigh integrity, independence of thought, and sound judgment.Willingness to commit time flexibly on an as-needed basis across time zones.Professional finance qualification (e.g., CA/CPA/ACCA, CFA) or prior Audit/Finance Committee experience advantageous.Exposure to international drilling, offshore services, or maritime sectors.Regulatory and Compliance RequirementsEligibility to serve as a director of Singapore companies; no disqualifying factors under the Singapore Companies Act.Skills:Strategic thinking and problem-solving skills.Financial acumen and attention to detail.Ability to build and maintain relationships with stakeholders at all levels.High level of integrity and ethical conduct.
