Job Description
Summary: This is a regional role to be stationed in Singapore and report directly to the Regional Legal Counsel in Singapore. The role will handle the full spectrum of corporate secretarial duties for all the legal entities in APAC and ensure the integrity of the corporate governance framework of these legal entities. This role will be responsible to efficiently administer several crucial corporate related tasks in the ongoing life of all the legal entities in APAC, ensuring compliance with statutory and regulatory requirements in each jurisdiction in the APAC region.The scope of work and responsibility of this role include the following but not limited to:Manage the corporate secretarial team in the APAC region. Communication with all levels of internal and external stakeholders such as external corporate secretarial service providers, government agencies, auditors etc.Assist in the incorporation and registration of new local and foreign entities in APAC together with external corporate secretarial service providers and ensure the compliance with the statutory requirements, regulatory requirements, and relevant laws/acts in the jurisdiction where the entity is incorporated.Prepare / review statutory and regulatory corporate document and overseeing the preparation and co-ordination of these corporate documents for all legal entities in APAC.Local Legal Entities in Singapore - Prepare and draft resolutions, announcements, AGM, Board Minutes, and other relevant corporate documents for all local legal entities in Singapore.Foreign Legal Entities in APAC - Assist and co-ordinate with external corporate secretarial service providers to ensure that resolutions, announcements, AGM, Board minutes and all relevant corporate documents are prepared for all foreign legal entities in APAC region.Ensure all Board Meetings and Extraordinary General Meetings are held properly and in timely manner as in accordance with the company’s constitution of each legal entities in APAC (both local & foreign).Handle all changes or updates made to the company’s constitution in a manner that complies with the statutory requirements, regulatory requirements, and relevant laws/acts in each justification in APAC.Handle all changes or updates made to the company’s register (example: change of Directors’ particulars, Register Officers/Directors, change of signatory, increase /decrease in Share Capital etc.) in a timely manner and compliance with the company’s constitutions.Work with the APAC legal counsel in relation to striking-off entity and liquation of entity within the APAC region.Facilitate apostille and notarization services with public notary and relevant body/authority/embassy.Facilitate wet-ink signatures and e-signatures from different Directors / Board of Directors across different legal entities within the Group, APAC and external party for all corporate documents.Maintain the company’s register, company’s constitution, and company’s corporate records such as share certificates, statutory returns and filings, corporate documents and records for all legal entities as relevant, accurate and in compliance with the statutory and regulatory requirements.Assist and work with external corporate secretarial service providers in the statutory filings/lodgments for all legal entities in APACA with the relevant government agencies/bodies/authorities in each justification within the stipulated timeline.Provide professional and accurate advisory support and advise to internal stakeholders.Ensure compliance with the relevant statutory and regulatory requirements for all legal entities in APAC.Upload all corporate documents, statutory and regulatory filings/lodgments, company registers, company articles and constitution, etc. in the company internal database (BSCW Sever).Be keepers and point of contact (POC) for all corporate documents.(Optional) Experience with AI implementation related to Corporate Secretary function:Using AI to streamline administrative and governance processes.Leveraging AI to monitor changes in laws, filings, and governance standards.AI driven information flow and decision support.Digitizing and validating corporate records with AI.Institutionalizing governance know-how using AI.Corporate and governance related data migration for AI use. Requirements of This RoleSingapore Citizen or PR in Singapore.
