The role covers drafting and negotiating corporate and commercial agreements, leading M&A transactions, and managing disputes including arbitration and litigation. The Senior Manager will also drive adoption of legal technology, ensure governance and compliance, and partner with senior management to deliver commercially sound and pragmatic legal advice.Key Responsibilities Corporate Legal & Commercial ContractsProvide legal support across RGE Group businesses. Provide legally sound advice including drafting, reviewing, and negotiating a wide range of corporate and commercial agreements. Lead M&A transactions, for both acquisition and divestments including providing assistance in the preparation of data rooms, reviewing due-diligence reports, drafting term sheets, drafting and reviewing share/asset purchase agreements as well as related ancillary agreements. Drafting completion checklists and prepare for completion working closely with external counsel where applicable. Drafting and reviewing joint development agreements and joint venture agreements. Dispute ManagementStrategise and manage contentious/litigious matters, arbitration, and disputes. Manage and monitor external counsel with focus on cost control and outcomes. Legal TechnologyEvaluate, implement, and administer legal technology solutions. Develop workflows, manage user access, provide training, and drive adoption to improve productivity. Governance & ComplianceEnsure compliance with internal legal policies and guidelines. Provide legal training to internal clients and colleagues. Lead ad-hoc legal projects as required. Requirements: QualificationsLL.B or equivalent, Singapore-qualified lawyer from a reputable university. 10–14 years PQE with strong academic and transactional background. Professional background in a reputable local or international law firm and/or multinational in-house legal team. SkillsStrong contract drafting, review, and negotiation skills (corporate, commercial, and infrastructure). Proven ability to support mergers & acquisitions and cross-border transactions. Experience managing arbitration, litigation, and dispute resolution, including external counsel. Demonstrated knowledge of governance and compliance laws and regulations. Proficiency in leveraging legal technology and improving legal team productivity. Excellent research, analytical, and problem-solving skills. Personal CharacteristicsMature, resilient, and collaborative, with the ability to partner effectively with peers and senior management. Commercially minded, pragmatic, and meticulous. Strong interpersonal, communication, and negotiation skills. Self-motivated, takes initiative, and assumes ownership while being a collaborative team player.
