We are the European hub of a global investment platform with a presence in multiple regions. Established over a decade ago, our Luxembourg office has grown into a team of around 15 professionals.Role OverviewWe are seeking a Governance professional to join our Legal, Governance & Compliance team, reporting directly to the Executive Director responsible for this area.The successful candidate will play a key role in managing company secretarial and corporate governance functions, ensuring the highest standards of compliance and operational excellence across the organization.This full-time, on-site position is based in Luxembourg City and offers the opportunity to develop within a dynamic, growing international business.Key ResponsibilitiesCorporate ComplianceMaintain and update company records and statutory registers for all legal entities within the group.Manage filings and statutory returns with relevant regulatory bodies to ensure compliance with applicable requirements.Support ongoing improvements and alignment with best practices in corporate governance.Corporate Services and Board SupportCoordinate board and committee meetings, including scheduling, agenda preparation, documentation review, and minute drafting.Manage company lifecycle documentation such as general meetings, powers of attorney, signature lists, resolutions, and other governance records.Track action items and follow up on pending matters.Governance Framework & Process ManagementAssist in the implementation and maintenance of policies and procedures governing board operations.Support periodic assessments and updates of governance frameworks, organizational charts, and terms of reference.Transaction and Cross-Border SupportCollaborate with internal teams on approval processes for investment, divestment, and restructuring activities.Coordinate board and shareholder approvals and manage execution of related documentation.Stakeholder ManagementSupport board members with onboarding, contracts, logistics, and performance assessments.Liaise with internal and external stakeholders, including auditors and advisors, on governance-related matters.Contribute to ad hoc corporate or governance projects as required.Candidate ProfileMinimum of 8 years of relevant experience in corporate governance, legal, or company secretarial functions within the fund or financial services industry.Degree in Law, Business Administration, or equivalent qualification Proven ability to work in a complex, international, and fast-paced environment.Strong interpersonal and relationship management skills with a collaborative approach.Excellent organizational and project management capabilities.Up-to-date knowledge of governance frameworks and regulatory developments.Excellent command of English (written and spoken)What We OfferCompetitive compensation package including performance-based bonus.Comprehensive health and life insurance coverage.Pension and savings plan.Meal allowance and access to parking.Additional paid leave beyond standard vacation days.Convenient office location near public transport and the city center.Supportive, flexible, and collaborative working environment.Personalized professional development and career growth opportunities.
