The Associate Legal Counsel, Documentation Review will be responsible for drafting and reviewing legal documents to ensure optimal compliance with legal and policy requirements. The role will also assist in implementing measures to reduce legal exposure, risks, and costs. Key Responsibilities: Draft, review and give legal opinions on legal documents (agreements, contracts, MoU, etc. ) compliant with laws and internal policies/procedures, ensuring remedies and enforcement with reduced legal exposure and risks.
Draft, review, conduct legal research, prepare legal memorandum and give legal opinions on laws, legal claims, legal issues (including employment issues) and internal organisational documents, identifying potential legal risks, assessing the issues impacting legal risk and possible mitigations. Perform other department jobs including potential/existing litigation matters, operation/maintenance of case management database, compliance related tasks etc. Visit as necessary, field offices, branches, courts, tribunals and other dispute resolution forums, govt. offices, law chambers, enterprises and other places as assigned. Communicate among Head Office department staff and with Field Office department staff as necessary, on responsibilities and tasks assigned.
Provide reports on a regular basis and as directed or requested, on legal services and tasks assigned. Ensure compliance with organizational policies and procedures. Maintain confidentiality when preparing, sharing and storage of information and documents. Any other task assigned by the supervisor and department time to time. Safeguarding Responsibilities: Ensure the safety of Programme Participants, people who come into contact with the organisation and team members from any harm, abuse, neglect, harassment and exploitation including sexual exploitation and abuse (SEA) to achieve the programme's goals of safeguarding implementation.
Act as a key source of support, guidance and expertise on safeguarding for establishing a safe working environment. Practice, promote and endorse the issues of safeguarding policy among team members and ensure the implementation of safeguarding standards in every course of action. Follow the safeguarding reporting procedure in case any reportable incident takes place and encourage others to do so. Additional Job Requirements: Computer proficiency. Good in both Bangla and English language (spoken, reading, writing) communication. Identification of legal issues and alternative solutions. Assessment and mitigation of legal, regulatory, reputational and ethical issues. Independently update relevant legal knowledge.
Networks in legal community. Excellent knowledge and understanding of legal system, litigation, dispute resolution processes and remedies in Bangladesh. Sources of laws and regulations, methods of legal research and statutory interpretation. Accountability and dependability, self-management, analysis and reasoning, problem-solving, attention to detail, researching information. Educational Requirements: LL. B (Hons. ) Laws related to negotiable instruments/criminal law/procedural law (evidence, stamp, court fees, civil and criminal procedure, judicial review, court rules)/ laws related to remedies and dispute resolution.
Commercial law (including contract, sale of goods, company, competition, consumer protection, employment, property)/administrative law/intellectual property laws/technology laws and privacy and data protection laws or other relevant subjects from any reputed university. Experience Requirements: Minimum 2 years’ experience in drafting and reviewing commercial legal documentation, in development, financial or business organisations, or in law chambers with commercial law practice.
