Position TitleChair of the BoardReports toThe Board of Directors Position TypeVolunteerPurpose / Role OverviewProvide independent oversight and strategic guidance to the CEO, board members and leadership teamUphold Worthy Cause’s mission, vision and valuesImplement and oversee the new governance structure including sub-committees, meeting cadence and strategic planning processes and then oversee the BoardKey Responsibilities and DutiesBoard Leadership and Governance OversightProvide leadership and direction to the Board and CEOLead creation and implementation of board structure and governance reformsDetails provided in briefing paperStrategic Direction and PlanningLead development of a new long-term  strategic plan Facilitate annual strategy dayMonitor implementation of strategic goals and assess performance against key milestonesMeeting Management and Board CadenceChair and oversee preparations for formal Board meetingsEncourage fair, meaningful and inclusive discussion from all directorsOversee sub-committees of the BoardBoard Composition and PerformanceSupport induction, mentoring and ongoing development of directorsLead annual Board performance reviewsStakeholder RepresentationAct as an ambassador for Worthy Cause’s mission and valuesFoster and maintain relationships with funders, regulators, community partners and key stakeholdersLegal and Governance DutiesAct with care, diligence and good faith in the best interests of Worthy CauseEnsure the Board collectively meets its statutory and governance obligationsRequired Skills, Experience and AttributesExtensive governance and leadership experience, ideally in not-for-profit or social enterprise sectorsStrong understanding of compliance, risk and financial oversightStrategic mindset with proven ability to lead organisational growth and changeExcellent communication, facilitation and stakeholder engagement skillsExperience in chairing boards or sub-committeesHigh ethical standardsAlignment and commitment to Worthy Cause’s purposeTime CommitmentApproximately 8 - 12 hours per month (additional hours for onboarding)Attendance at Board meetings and oversight of sub-committeesAdditional time for strategy day, stakeholder engagement and CEO liaison
