Job Description
Support established procedures and guidelines to provide timely and effective secretarial support to an office, business unit, department, or other organization group.Job responsibilities: Execute and handle a full range of corporate secretarial tasks, services and matters in compliance with Malaysian Companies’ Act and as required, offshore legislation.Manage a portfolio of companies as assigned independently including all functions expected of MAISCA Certified Secretary such as certified true copy (CTC) of documents, appointment as named company secretary, etc.Draft board meeting minutes, agendas and directors’/shareholders’ resolutions.Update and maintain statutory audit review.Fulfil KYC requirements required by registered agents, in relation to companies administered by them.Fulfil KYC requirements required by financial institutions, in relation to banking transactions.Maintain corporate legal document management database.Maintain legal structures of business units as assigned.Develop and ensure alignment of documentation and policies driven by corporate legal departmentResponsible to special tasks and projects assigned from time to time.RequirementsMust be registered member of Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) or equivalentAt least 5-10 years of experience in corporate secretarial work gained in law firms, reputable corporate services firms and/or in-house corporate secretarial teamsFamiliarity with offshore jurisdictions’ regulatory requirements and legislations would be an advantageFamiliar with XBRL filing and ACRA regulations and e-filingAble to manage complex and voluminous workload without compromising on responsiveness and qualityExcellent organizational, time-management and follow-up skills with good attention to detailsMust be able to maintain the highest standards of confidentiality, discretion and integrityGood communication skills both spoken and written in English and Chinese to liaise, develop and maintain close working relationships with internal stakeholders (including those in overseas offices) to meet the Group’s internal governance.Experienced in Labuan Trust Services will be an advantage.Strong interpersonal skills, resilient, driven, motivated and able to work independently and under pressure.Highly proficient in MS Office applications and Visio
