Job Description

Our client, a global Fintech is looking for a Corporate Lawyer experienced in corporate governance matters to join their team on a permanent basis. The Corporate Secretariat team plays a central role in ensuring governance, compliance, and corporate administration across their Swedish operating and non-operating entities. The team handles filings, board and committee support, statutory compliance, corporate restructuring, capital flows, and resolutions.In this role, you will work closely with the Head of CoSec to manage Swedish-specific statutory filings, support board and shareholder meetings, coordinate capital movements within the Swedish entities, and help maintain corporate records and governance processes.Key responsibilities: Coordinate and manage board meetings, AGMs, EGMs, and other corporate decision-making processes.Keep governance documents, policies, and charters up to date.Support board evaluations, maintain conflict-of-interest registers, and assist with director onboarding and training.Advise the Head of CoSec, local management, and Group Legal on governance matters, regulatory updates, and best practices.Develop and improve internal CoSec procedures, templates, and digital processes.Act as a point of contact for directors, senior executives, auditors, and external legal counsel.Prepare and submit annual reports, interim filings, and updates to Bolagsverket and other Swedish authorities.Maintain statutory registers, including shareholder and beneficial ownership records, charges, and PSC registers if applicable.Ensure compliance with Swedish corporate law (Aktiebolagslagen), Annual Accounts Act, and other relevant regulations.Monitor filing deadlines, address late-filing risks, and manage branch and foreign entity filings in Sweden.Track regulatory changes and advise on their implications for the business.Support and coordinate capital injections, loans, and equity issuances flowing through Swedish entities within the group.Partner with Legal, Compliance, Regulatory, Tax, Finance, and Internal Audit teams.Coordinate with external counsel, auditors, and regulators as required.Occasionally assist with ad hoc legal matters in Sweden.To be considered for the role you should: Have a Swedish law degree (or equivalent)Have a Swedish legal practice qualification or substantial experience in Swedish corporate/administrative law.Be fluent in Swedish Have strong knowledge of Bolagsverket processes, annual reporting, and shareholder/board meeting management.Be comfortable operating in fast-moving, high-growth environments.This is a hands-on, dynamic position ideal for a detail-oriented professional who thrives in a fast-paced, international environment and wants to contribute directly to the strategic governance of a leading fintech.If this opportunity sounds of potential interest, then please send your CV to apetrou@kgglobal.co.uk
