We are seeking a highly motivated, meticulous, and experienced Corporate Governance Officer to join our legal department. This pivotal role will be responsible for managing and overseeing all aspects of corporate governance for our group's portfolio ensuring compliance with relevant laws, regulations, and best practices. The ideal candidate will possess a deep understanding of corporate secretarial duties, legal frameworks, and a proactive approach to maintaining robust governance structures.

Your role at HFM: Corporate Secretarial Management: Manage and maintain statutory registers, corporate records, and legal documentation for all group companies. Ensure timely and accurate filing of all statutory returns, resolutions, and documents with relevant regulatory authorities (e. g. , Registrar of Companies). Manage company seals and ensure their proper use. Board and Committee Support: Coordinate and facilitate Board of Directors and Board Committee meetings for all entities within the group, including drafting agendas, circulating board packs, attending meetings, and drafting accurate minutes. Ensure timely follow-up on action items arising from board and committee meetings.

Provide guidance to Directors on their duties, responsibilities, and corporate governance best practices. Policy Development and Implementation: Assist in the development, implementation, and review of corporate governance policies, procedures, and frameworks across the group. Ensure all group companies operate in compliance with internal governance policies and external regulatory requirements. Identify and report on any governance gaps or areas for improvement. Legal & Regulatory Compliance: Monitor changes in corporate governance legislation, regulations, and best practices relevant to all jurisdictions where the group operates. Advise the Head of Legal and senior management on the implications of new legal and regulatory requirements.

Support legal due diligence processes for acquisitions, disposals, or corporate restructuring initiatives. Assist in the preparation of legal opinions and compliance reports as required. Shareholder Relations: Manage communications with shareholders, including preparing circulars, notices, and other shareholder-related documentation. Coordinate and support general meetings of shareholders for all relevant entities. Record Keeping & Administration: Establish and maintain a robust, organized, and accessible system for all corporate governance documents, ensuring data integrity and confidentiality. Liaise with external service providers, auditors, and legal counsel as necessary. Handle general administrative tasks related to corporate governance. RequirementsWhat You Bring:

Bachelor’s degree in law, Business Administration, Legal or a related field. A Master's degree or relevant professional qualification is highly desirable. Minimum of 2 years of proven experience in a corporate governance, company secretarial, or legal compliance role, preferably within a group of companies or a large corporate environment. In-depth knowledge of company law, corporate governance principles, and relevant regulatory frameworks. Strong understanding of Board processes, meeting protocols, and minute-taking. Excellent written and verbal communication skills in English. High level of accuracy, attention to detail, and organizational skills.

Ability to manage multiple tasks and companies simultaneously in a fast-paced environment. Strong analytical and problem-solving abilities. Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and corporate secretarial software/platforms. High ethical standards and discretion in handling confidential information.
