Job Description

We’re working with a major UK investment and pensions organisation seeking an Assistant Company Secretary to support its Boards and Committees in delivering best-practice governance and compliance.You’ll play a key role in ensuring the organisation meets its statutory, legal, and internal governance obligations, working closely with senior stakeholders across a complex, regulated structure.Key responsibilities:Act as Committee Secretary — preparing agendas, drafting minutes, coordinating actions, and managing papers via Diligent Boards.Provide governance and compliance advice, supporting effective decision-making and high-quality board reporting.Manage Diligent Entities and Companies House filings, including confirmation statements, accounts, and director changes.Maintain Power of Attorney and authorised signatory records, and assist with the Trustee election and appointment process.Ideal profile:Experience within a company secretarial or governance team, ideally in a regulated or multi-entity environment.Strong knowledge of Companies Act requirements, entity management systems, and board/committee administration.Excellent drafting skills, attention to detail, and confidence engaging at senior levels.
