Job Description

Role Overview The role is critical in supporting all legal, regulatory, and corporate governance matters for Liberty Singapore entities, including contract reviews for Liberty Singapore Retail Entity (and Commercial & Speciality entity as needed), and corporate governance of the Tier 1 Board of Liberty Speciality Markets Singapore Pte Ltd and other legal entities primarily in Singapore both regulated and non-regulated. Role Responsibilities Provide day-to-day management on all aspects of the legal function including: (i) Regulatory/legal issues relating to insurance and reinsurance (contract review, policy wordings); (ii) General corporate and commercial advisory work; (iii) Corporate litigation, dispute management and resolution; and (iv) Draft, negotiate, review, approve agreements, legal reports, etc; Advise on local legal matters (eg civil, criminal, labor, outsourcing, data protection etc) and on any changes/developments in the law when appropriate; Maintains current knowledge of legal issues and developments in the law; evaluates legal trends for impact on the company/ group; Enhance systems to efficiently disseminate information, set up and maintain legal library of legal advice and legal contracts; Represent and advise on substantial legal and business transactions which require legal expertise and generally involve a high degree of original and creative legal endeavor, evaluation of complex or novel issues. Such transaction may include key vendor, distribution, M&A agreements, and special projects, amongst others; Performs comprehensive research and analysis in collaboration with external and internal counsel in assigned areas of specialization; direct, focus and refine comprehensive research of others on matters including insurance regulation, corporate governance, litigation, employment matters, IT, real estate and compliance matters; Maintain the company’s license (e.g. business scope extension) and relationship with regulators in conjunction with local and regional management; Provide legal support on insurance claims review when needed; In conjunction with Regional & Global Legal, oversee and monitor all intellectual property rights; Provide day-to-day management on all aspects of corporate governance, including liaising between the Board and management, ensuring effective communication facilitating informed decision-making and enhancing overall board effectiveness and oversight Board and committee support including collation and distribution of board packs, ensuring arrangements in place for smooth running of meetings Drafting clear and accurate minutes and actions in a timely manner Liaising with non-executive and executive directors Driving continued enhancement of board and committee papers to ensure they drive effective debate, challenge and outcomes at Board and Committee meetings Embedding Diligent Entities as the single source of truth for all legal entity information with proportionate review process for all entities within your remit Managing relevant statutory filings Maintaining procedure documents Supporting the business in navigating the corporate governance framework for ease of transaction of business Ensure the corporate governance framework is robust an effective locally and in line with LII and LMG requirements Report all issues to Local & Regional Legal and Corporate Governance per Reporting Protocols; Other ad-hoc duties, as required Adherence to all relevant regulatory requirements form part of your role and to proactively demonstrate compliance with these requirements and behaviours at all times. Role Competencies | Experience & Skills Singapore qualified lawyer Minimum 10 years legal PQE experience at a law firm, or preferably as in-house counsel Excellent analytical & legal writing & communication skills. Ability to communicate and explain complex issues clearly and succinctly. Ability to build trust and effectively network with internal and external stakeholders. Professional and approachable with a “can-do” attitude to interact successfully with senior management/colleagues/external suppliers. Strong relationship / inter-personal skills. Strong business acumen and instinct. Client service mentality with an ability to challenge and probe to achieve optimal client outcomes. Integrity and high ethical standards, acting with discretion at all times. Ability to manage time and projects, meet deadlines and prioritise. Self-motivated, as well as a strong team player with a keen sense of ownership and desire for continuous improvement. Strong written and verbal skills and an effective communicator with confidence, maturity and gravitas to deal effectively at senior level. Able to work proactively under own initiative, prioritise, handle time pressure and manage multiple projects at the same time with flexibility to adapt to shifting expectations. PC skills – ability to use legal entity management systems and other system packages, proficient and fast at learning and adapting to new technology and software.
