About UqudoUqudo is a leading B2B digital identity verification company providing KYC, eKYC, biometric authentication, AML screening, and document verification services across the Middle East and Africa. We partner with enterprises, governments, and financial institutions to enable secure digital onboarding and identity assurance.The RoleWe're seeking an experienced Legal Manager to own our commercial contract function and support our growing business across the MEA region. You'll work directly with our sales and partnerships teams to structure and negotiate B2B SaaS agreements, manage supplier relationships, and collaborate with external counsel on investment-related matters.This is a high-impact role where you'll be the primary legal partner to our commercial teams, balancing legal protection with business velocity in a fast-growing fintech/identity verification space.Key ResponsibilitiesCommercial Contracts (90%)Draft, negotiate, and finalize B2B SaaS agreements including MSAs, SOWs, SLAs, and DPAs with enterprise customersStructure and negotiate channel partner agreements, reseller arrangements, and system integrator partnershipsManage vendor and supplier contracts including technology licenses, service agreements, and professional services contractsCreate and maintain contract templates and playbooks to enable sales team efficiencyAdvise on commercial terms, pricing structures, liability caps, and risk allocation in customer dealsSupport complex multi-party agreements including consortium deals and public sector tendersEnsure contracts comply with relevant data protection regulations (GDPR, local data privacy laws)Navigate regulatory requirements for digital identity services in UAE (DIFC, CBUAE) and across MEA marketsSupport data residency, localization, and security certification requirements in customer agreementsAdvise on cross-border data transfer mechanisms and regulatory frameworksMonitor regulatory developments affecting digital identity and biometric authentication servicesDevelop compliance frameworks and guidance for customer-facing teams on regulatory obligationsSupport audit and certification processes (ISO 27001, SOC 2, etc.)Investment & Corporate Matters (10%)Collaborate with external legal counsel on fundraising documentation, shareholder agreements, and corporate governanceSupport due diligence processes for investment rounds and strategic partnershipsAssist with corporate housekeeping and entity management across jurisdictionsRequired Qualifications5-6 years post-qualification experience as a lawyer, preferably with a mix of law firm and in-house experienceLLB or equivalent law degree (admission to Egyptian Bar or relevant jurisdiction is a benefit)Strong B2B commercial contract experience, ideally in consulting, tech or SaaS industriesProven track record of negotiating and closing complex commercial agreements in a team with business and technology expertsUnderstanding of B2B SaaS business models, subscription agreements, and technology licensingFamiliarity with data protection laws and cross-border regulatory requirementsExperience working with sales teams and translating legal requirements into business-friendly languageExcellent English drafting skills (Arabic is a plus)Ability to work independently with minimal supervision while knowing when to escalatePreferred ExperienceIn-house experience at a tech company, fintech, or digital services providerExposure to digital identity, KYC/AML, biometric authentication, or cybersecurity industriesKnowledge of UAE regulatory environment (DIFC, CBUAE, ADGM, mainland UAE)Experience with MEA regional contracts and multi-jurisdictional considerationsPrior involvement in investment transactions or fundraising processesWhat Success Looks LikeMonth 1-3: Assume ownership of contract pipeline, streamline templates, reduce contract cycle timesMonth 4-6: Work with the team to close 90%+ of commercial deals without escalation; establish trusted advisor relationship with sales & tech leadershipMonth 6-12: Implement scalable contract processes, reduce external legal spend on routine matters, proactively identify and mitigate company risksWhat We OfferDirect impact on a high-growth B2B SaaS company expanding across MEAExposure to cutting-edge digital identity and biometric authentication technologyCross-functional collaboration with sales, product, and executive leadershipOpportunity to build and shape legal function as we scaleRemote-friendly work environment with flexible arrangements
