Job Purpose: Manage Client contracts during the project & operations phases ensuring proper contractual administration & commercial matters are proactively managed. This includes letters, notices, negotiations, change orders / variations, contract amendments. During project execution phase & depending on commercial size / complexity, this may require 100% dedication from a Contracts Manager.Focal point for contract terms & conditions qualifications / clarifications on tenders ensuring MISC commercial & contractual guidelines are maintained & risks adequately mitigated.Delegate & lead as necessary to subordinate (executive).Coordinate/interface as necessary with respective interdisciplinary departments to achieve optimum results.Ensure all activities are in compliance with contract provisions and MISC corporate governance requirements.Principal Accountabilities: Bidding Work Focal point of the bidding team responsible for qualifications / clarifications on clients contract terms and conditions ensuring MISC commercial and contractual guidelines are maintained and risks are adequately mitigated. The support also extended to the internal stakeholders interface to prepare (draft) contract qualifications / clarifications and coordination as necessary to ensure consistency of key contract terms / milestones with relevant exhibits to the Contract.Partnership arrangements (JV, Consortium)Develop and coordinate to conclude agreements between MISC and proposed Partners for joint ventures, consortiums or other forms of collaboration to work on a bid, project & operation. Includes heads of agreement, shareholders agreements, confidential and non-disclosure agreements. Work will require collaboration with internal stakeholder groups such as Asset Management, Engineering, Procurement, Legal, Tax, Finance and Insurance.Contract Management (Administration) Project & OperationsProactive management of the client contract throughout the project and operations & maintenance phases ensuring compliance with contractual obligations and MISC’s rights are not lost (variations / changes). Depending on the commercial size and complexity of the project, it may require a full-time dedicated Manager Contracts.Maintain a summary report of all projects and operating assets under the Manager Contracts’ purview with material issues identified, tracked and reported to Head of Department and affected internal stakeholders such as Asset Management, Engineering, Procurement, LCSC, etc.Dispute Resolution and Change Order ManagementCoordinate with internal stakeholder departments’ leads to ensure any potential contract / commercial exposures are being addressed timely.Ensure potential contractual risk and change orders are addressed timely.Manage and negotiate resolution of (in collaboration with respective internal stakeholders) disputes, Change / Variation Orders and Contract Amendments during all phases of the Contract i.e. project execution, Operations & Maintenance and demobilization.Leadership and Capability Development of TeamProvide necessary leadership and guidance to the Executive level within the team and sharing the knowledge across the group in order to establish a competent team of Contract Management professionals to manage client contracts for assets and projects in multiple global locations.Job Requirements: Experience:At least 10 - 12 years of relevant work experience in oil & gas contract development (tendering) and management (projects & operations) with specific focus on lease and operate type marine contracts.Project Management: Demonstrated ability in a key position within a couple of project execution teams. Focus on offshore EPCIC contracts with clients in the oil and gas sector - preferably FPSO’s & FSO’s. Some experience in managing Subcontracts with suppliers and vendors advantageous.Operations: Experience in managing long term (7+ years) operations contracts with clients as part of lease & operate agreements.Disputes: Demonstrated experience in managing / administrating disputes (including Subcontracts with suppliers and vendors). Formal dispute resolution (court / arbitration) experience advantageous.Technical / Construction: Familiar with offshore oil and gas construction concepts including packaged and modular fabrication.Qualification: Degree in Law, Engineering or Quantity Surveying from a reputable university.Master of Science, Engineering, Business Administration or Law (M.Sc. / M.Eng. / MBA / LLM) from a reputable university, or related professional qualification(s) is an additional advantage.
