Job Description

Our client, a global fintech known for its innovation, agility, and strong governance culture is looking for a Paralegal experienced in company secretarial matters to join their team on a permanent basis.The company secretarial team plays a central role in ensuring that the organisation and its subsidiaries remain compliant with international corporate and regulatory standards which includes, managing corporate structures, entity formations, board governance, filings, and overall corporate administration.Working closely with senior stakeholders across Legal, Finance and Compliance, the company secretarial team ensures that the group’s governance operations are efficient, transparent, and well-coordinated.Key Responsibilities include:Managing a broad range of company secretarial and corporate law matters, including international entity formations, restructurings, dissolutions, and share transactions.Preparing and lodging statutory filings with Companies House and other regulators, ensuring timely and accurate submissions (e.g. annual returns, director and shareholder changes, capital updates).Supporting the organisation and execution of board and shareholder meetings, including drafting agendas, minutes, resolutions, and follow-up actions.Maintaining and updating statutory registers, corporate records, and governance documentation in accordance with internal standards.Acting as a liaison between internal stakeholders and external advisors, ensuring smooth coordination of global entity management activities.Monitoring developments in corporate governance and regulatory trends, highlighting potential impacts or risks to the business structure.Identifying and implementing process improvements, developing templates, playbooks, and workflow enhancements to drive efficiency and consistency.Managing digital tools such as DocuSign and Diligent for document execution and governance tracking.Coordinating timelines, deliverables, and communications across the company secretarial function to ensure objectives are delivered effectively.To be considered for the role you should:Be experienced in a corporate governance, company secretarial, or legal operations role, preferably within financial services, fintech, or technology.Have strong working knowledge of UK company law and regulatory regimes (Companies Act, Companies House processes), with awareness of international governance standards.Be experienced in managing corporate filings and supporting cross-border entities.Be familiar with board governance, compliance, or risk management frameworks.Be skilled at balancing multiple projects and stakeholders while maintaining precision and sound judgement.Have experience using DocuSign, G-Suite, and collaboration toolsBe highly organised, dependable, and comfortable taking initiative in a fast-moving environment.This is a hands-on, dynamic position ideal for a detail-oriented professional who thrives in a fast-paced, international environment and wants to contribute directly to the strategic governance of a leading fintech.If this opportunity sounds of potential interest, then please send your CV to apetrou@kgglobal.co.uk
