The OrganizationHeadquartered in Toronto, the Building Ontario Fund (BOF) is a new independent, board-governed agency that will facilitate investment by trusted institutional investors in critically needed large-scale infrastructure projects within the province. The agency’s mandate is to invest in, and seek to attract investment from, qualified institutional investors, public sector entities, governments, and Indigenous communities in Ontario infrastructure projects that will generate revenue and are in the public’s interest. BOF will do this by: Investing in infrastructure and appropriately allocating risks amongst the Corporation and other investorsStructuring proposals and negotiating agreements with investors in infrastructure projectsReceiving and assessing unsolicited ideas and proposals for infrastructureProviding advisory services with respect to financing infrastructure projectsThe OpportunityBOF is seeking a permanent full-time Principal, Investments to fill an existing vacancy, and join our team in shaping the future of infrastructure in Ontario!In this role, you will report to the Managing Director, Investments (Long-Term Care & Student Housing) and be accountable for managing the entire investment life cycle of long-term care and student housing opportunities (Projects). Typical Projects will involve construction financing and/or shorter-duration term financing, typically as a co-investor with an institutional lender. This role will leverage commercial lending experience, advanced structuring expertise, and knowledge of government funding models to assist Building Ontario Fund (BOF) to structure customized lending solutions that respond to Project and Borrower needs, and drive policy objectives and financial returns for BOF.Your day-to-day will include:Investment Origination and TriageSupport early-stage and ongoing evaluation of pipeline opportunities for strategic fit, financial viability, and regulator compliance.Support development of financing solutions that respond to Sponsor / Borrower and Project needs, while respecting BOF policy objectives, pricing structures and risk management frameworks.Prepare, or oversee preparation of Project Screening materials and Board submissions. Maintain CRM or deal tracking system with status updates.Maintain up-to-date knowledge of relevant news, market trends and competitive landscape.Investment UnderwritingDevelop independent financial models and templates to evaluate transactions, including scenario and/or sensitivity analysis (base case, downside), with particular focus on return outcomes.Stress-test sponsor-provided models to validate assumptions and assess project resilience.Assess borrower’s financial position and strength as part of counterparty risk assessment.Identify project risks and mitigation strategies.Present investment memos summarizing underwriting conclusions.Coordinate with BOF legal, finance and policy teams to ensure wholesome assessment of the investment.Structuring and Deal Execution Structure hybrid instruments such as convertible debt, subordinated facilities, and equity-like solutions ensuring alignment with BOF investment objectives.Negotiate and finalize pricing to align with BOF investment and policy objectives.Lead the drafting and review of term sheets, credit agreements, intercreditor agreements and security packages.Provide advice on commercial terms of credit agreements, ensuring alignment with organizational objectives and regulatory requirements for target sector.Prepare, or oversee preparation of, Project materials for Management Investment Committee and for Board submissions.Oversee the end-to-end deal process from investment committee approval through to financial close, coordinating across advisors, internal teams, and borrower teams.Loan Administration and Asset ManagementWork closely with and support BOF Finance functions with recording and accounting for Project loans within BOF financial systems and supporting loan administration.Proactively monitor loan performance, identify potential risks, and develop mitigation strategies to safeguard the BOF’s resources and reputation.Receive and assess Sponsor/Borrower requests for consents, postponements, and/or amendments to loan structure, and develop recommendations for responding to any such requests. Coordinate with BOF Legal and Finance teams to implement approved changes or enforcement actions.Monitor maturity and repayment of loans and ensure all Sponsor/Borrower obligations to BOF have been fully satisfied.Leadership and StrategyProvide subject-matter expertise in innovative structuring and hybrid instruments.Provide mentorship and deal leadership to junior team members of Project deal teams, fostering a culture of innovation, integrity, and accountability.Share commercial lending expertise and experience with other BOF deal teams and members of the Investments function.Provide excellent customer service and build long-term relationships with Sponsors/Borrowers to promote BOF’s lending solutions.Support the development and execution of BOF strategic vision, aligning investment objectives with the needs of Ontario’s priority sectors.QualificationsEducation and Experience Degree in Finance, Accounting, Business, Economics, Mathematics, or related field, or equivalent experience.MBA or Chartered Financial Analyst (CFA) Designation preferred, but not required.A minimum of seven (7) years of investment, commercial lending, corporate finance, project finance, investment banking, private equity, or related investment sector work, with a minimum of five (5) years of deal structuring experience, with experience in long-term sector and/or real estate.Extensive experience analyzing and interpreting credit agreements to assess compliance, covenants, defaults, and risk exposure.Knowledge and Skills Knowledge of investment theories, principles and practices, business finance/management operations and requirements, sector trends and challenges, and regulatory, partnership and funding/financial issues.Knowledge of risk assessment and risk management principles and due diligence analysis to monitor and manage loan portfolios, proactively identify potential risks, and implement mitigation strategies.Excellent negotiation and relationship management skills, to support and/or lead high-value negotiations on loan terms and conditions with Borrowers.Sound leadership skills to direct and mentor a deal team during loan negotiations to achieve optimal, mutually beneficial agreements.Strong research and analytical skills to lead market research initiatives to support lending decisions.Excellent verbal and written communication skills to work effectively with internal stakeholders and external Borrowers.Excellent organizational and priority management skills.Financial acumen and proficiency in credit analysis to underwrite and analyze credit and financial information to determine credit worthiness of potential Borrowers and Projects.Collaborative, team-oriented mindset that prioritizes team needs and goals, and works to foster collective success.Advanced proficiency with Microsoft Excel and PowerPoint.ApplicationTo apply, please submit your resume through LinkedIn by Friday, November 7, 2025.
