You must understand how content funds are formed and bring an innovative, market-aware approach to terms.Quire is seeking an experienced professional in fund structuring, private placements, and entertainment finance. You will design scalable, compliant, investor-aligned structures that integrate creative, operational, and capital-markets requirements. The work includes constructing financial and governance frameworks for growth-stage media and content ventures raising institutional or hybrid capital.You will create clear, investor-ready structures that connect creative opportunity to institutional capital. Projects require balancing flexibility with precision so that media ventures can attract, align, and scale investor participation.The ideal candidate has deep experience in fund architecture, investment structuring, and clear financial storytelling. You will build frameworks that make creative businesses legible to sophisticated investors while preserving options for long-term growth.Quire will pay a premium rate for an individual who works autonomously, responds rapidly, understands urgency, and demonstrates strong judgment in candidate selection.Key Responsibilities:Design investor-accepted structures for content funds, including GP-LP entities, feeders, and SPVsAdvise on capital stack design, performance waterfalls, hurdle, carry, catch-up, clawback, and recyclingBuild term sheets and structure memos that explain rationale, risks, governance, and economics in plain languageBenchmark against precedent funds and recent private placements; recommend specific term improvementsWork with counsel on LPAs, subscription docs, side letters, and placement agent agreementsAddress tax and regulatory items: Reg D and Reg S, blue sky, KYC and AML, ERISA and UBTI, PFIC and CFC, blocker and feeder choices, withholdingDefine valuation, NAV, audit, reporting, and governance policies; key person, removal, and conflict provisionsStructure film and TV specifics: slate finance mechanics, cash flows, MGs and presales, tax credits and monetization, completion bonds, collection accounts, recoupment orderTranslate creative slates into investor-ready economics, sensitivities, and downside protectionsCoordinate with finance and strategy to produce capital formation materials and a clean data roomPresent structure options to stakeholders, capture feedback, and lock final terms within timeline and complianceEnsure deliverables meet Quire standards for clarity, accuracy, and speedQualifications:Bachelor’s degree in finance, economics, accounting, or law; MBA or JD preferred7+ years in private equity, investment banking, structured finance, or fund formationHands-on experience forming funds and SPVs, including GP–LP structures, feeders, and blockersProven ability to design capital stacks and model waterfalls, hurdles, carry, catch-up, clawback, and recyclingWorking knowledge of private placement rules and compliance: Reg D and Reg S, blue sky, KYC and AML, ERISA and UBTI considerationsEntertainment finance familiarity: slate financing, presales and MGs, tax credits and monetization, completion bonds, collection accounts, recoupment orderAbility to translate creative slates into investor-ready economics, sensitivities, and downside protectionsProficiency in Excel or Google Sheets for fund and deal modeling; SQL a plusExperience drafting or negotiating LPAs, subscription docs, side letters, and placement agent agreements with counselClear written and verbal communication for executive and investor audiencesExperience with institutional and HNW investor processes and diligence expectationsOperates quickly and accurately under tight timelines; high attention to detail and confidentialityCOMPENSATION (CONTRACT)Compensation for this role is based on experience and ranges from $75 to $200 per hour, with a potential for a higher scale based on more complex creative work. We will pay a premium for candidates with extensive experience.Skills Test and Personality Assessment:Selected candidates will undergo a skills test and personality assessment to ensure alignment with the role and our company culture.You will be working as a contractor, not an employee.  The work is highly complex, fast-paced, and requires the utmost skill and professionalism.
