1. Contracts Review & Managementa. Draft, negotiate and assist with a range of commercial contracts with customers, agents and suppliers (including equipment, energy and transport providers).b. Review and provide legal advice on responses to customer-driven tender processes, including identification of legal risks in customer’s proposed purchasing termsc. Render legal opinion on company concerns including customer and supplier relations and contacts implementationd. Manage a contracts database and entity policiese. Manage the notarial services for the Company2. Legal Review & Opiniona. Understand the implementation of various laws, local regulations and authorized standardization bodies.b. Understand codes and mandatory regulations related to AL activities to analyze its implications and provide practical guidelines or internal plan to comply with it.c. Provide legal support to internal stakeholders3. Case Managementa. Handle cases (initiate, monitor, complete) for the company and represent the company in judicial, quasi judicial and administrative hearingsb. Provide legal support in contractual disputes to generate the best possible commercial outcome, including management of external lawyers briefed in litigation4. Management of Ethics Concernsa. Act as entity's Ethics Officerb. Promote and remind all compliance aspects and corporate legal mechanism in daily routine activities among employees.c. Working together to achieve highest level of compliance by taking a leadership role in daily duties.d. Provide and convey training material of laws and any legal aspect of AL activities in accordance with the requirements of government regulations and Air Liquide policies.5. Manage IRC and Compliance with other Rules and Regulationsa. Make sure that all AL activities in the country comply with all government regulations and Air Liquide policies.b. Liaise with AL representatives in groups and/or organizations for consulting during the process to develop laws, mandatory regulations, codes or standards.c. Lead for coordination and communication process (interface) between Air Liquide and the regulatory authorities.d. Defines the IRC Program that have compliance aspects in general and related with corporate legal matters.e. Make sure that suspected offense or violation of laws or mandatory regulations is promptly reported to the Managing Director of subsidiary.f. Establish a yearly plan for Legal Site Audit to ensure that operations are compliant with applicable laws, mandatory regulations, codes and standards.g. Monitor compliance improvement process and make necessary corrections/adjustments.h. Reasonable knowledges on the codes and standards which are mandated by the laws and mandatory regulations.6. Board Mattersa. Ensure corporate compliance and governance, responsible for board meetings, drafting and review of resolutions (Shareholders, Commisioners and Directors), when required and in co-ordination with external service providers.b. Act as the Company's Corporate Secretary7. Conduct Trainingsa. Facilitate legal trainings
