And we’re just getting started!OverviewThe Corporate Counsel will serve as a strategic advisor and business partner within the Legal Department, assisting with a wide range of matters, including among others, corporate acquisitions and other strategic transactions, public company regulations, corporate governance, contracts, state and federal regulations and real estate, as well as providing legal advice and support to the Company’s business functions.In carrying out the required duties, the Corporate Counsel will work with a variety of business units, impacting important business decisions in support of the Legal Department’s mission to contribute to Planet Fitness’ success by I) providing clear, timely, thoughtful, professional and practical legal advice; II) recommending and implementing appropriate policies, practices and procedures to mitigate risk and control costs; III) being effective leaders with a focus on strategy, efficiency and collaboration; and IV) contributing to Planet Fitness’ fun, inclusive and Judgement-Free culture.This position is expected to follow our hybrid work schedule out of our Hampton, NH office.ResponsibilitiesAdvise on and assist with the execution of mergers and acquisitions, joint ventures, financings and other strategic transactions over the full transaction life cycle in collaboration with internal teams and outside counselAdvise on and assist with the preparation of SEC filings including proxy statements, Section 16 filings, current reports, securities offerings, and other related filingsCollaborate and provide legal guidance on external communications such as earnings releases, press releases, investor presentations and marketing materialsOversee the maintenance of corporate governance and jurisdictional compliance for all corporate entitiesAssist with the negotiation, review and maintenance of the Company’s corporate club leasesMonitor and maintain awareness of existing laws and regulations, as well as pending legislation and developments that are relevant to Planet Fitness’ business interestsRespond to legal requests and queries from individuals in all areas and all levels within the organization, and proactively recognize and address potential legal issues as they ariseDraft, maintain and interpret corporate policies and procedures and facilitate training and legal counseling on sameServe as a trusted legal and business partner and advisor to the executive team and business functionsSelect and manage outside counsel to execute on engagements in a cost-effective mannerDelegate appropriate matters and provide supervision to paralegals and interns.QualificationsJuris Doctorate degree from an accredited institution, as well as a valid license to practice law in any state4-6 years of legal experience in a large law firm and/or in-house legal department, with demonstrated experience in the areas of mergers and acquisitions and corporate governance mattersPreference for candidates with demonstrated experience as in-house counsel for, or outside counsel advising, public companies within one or more of the areas of securities compliance, public company reporting and cross-border transactionsExperience with complex contracts and/or commercial leases is a significant bonusStrong analytical and problem-resolution skills with exceptional business judgment, including the ability to think strategically and give practical advice while balancing business needs with legal risksHighly organized self-starter with the ability to coordinate and follow up on multiple priorities, manage time effectively and meet deadlinesExtremely detail-oriented, efficient, and organized with an exceptional ability to establish priorities and objectivesExceptional presentation and communication skills along with the ability to communicate effectively across all levels of the organization, including executives and Board of DirectorsAble to establish and maintain effective, collaborative work relationships with diverse individuals, internally and externallyCreative, progressive, thought leadership with the ability to influence at all levels of the organizationExcellent leadership skills including the ability to build teams, motivate, guide, and mentorPossess a results-driven entrepreneurial mindset, demonstrating initiative and creativityDemonstrated strategic thinking, creative problem-solving, and organizational leadership skillsExhibits comfort, ease, and flexibility working in an extremely fast-paced ever-changing, deadline-driven environmentCooperative team player with an upbeat, positive, “can-do” attitude!
