Job Description

SummaryThe Legal Manager will lead the legal function of our company, overseeing all corporate legal affairs across its multiple business verticals, including cement, steel, and spinning mills. The incumbent will ensure full compliance with Nepalese laws, provide strategic legal advice to management, handle litigation, and guide the junior legal team in day-to-day operations. On-site Location: Kathmandu, NepalKey Responsibilities Legal Advisory & Compliance Advise management on corporate, commercial, labor, and industrial laws applicable to the Group’s businesses. Ensure compliance with Nepalese legal requirements, industry regulations, and internal policies.

Draft, review, and finalize legal documents, contracts, MoUs, and agreements to safeguard company interests Litigation & Dispute Resolution Represent the company in courts, tribunals, and arbitration proceedings as needed. Liaise with external legal counsels for case strategies and updates. Proactively manage disputes to minimize legal risks and financial exposure. Risk Management & Policy Development Identify potential legal risks and recommend preventive measures. Develop and update company legal policies, manuals, and SOPs. Conduct legal due diligence for business expansion, mergers, and acquisitions. 4. Leadership & Team Management Supervise and guide a team of 4 Legal Officers, ensuring their productivity and professional development.

Allocate cases, review their work, and ensure timely resolution of legal matters. Foster a proactive, solutions-oriented legal team culture. Coordination & Stakeholder Management Collaborate with Finance, HR, Procurement, Sales, and other departments on legal matters. Maintain professional relationships with government authorities, regulatory bodies, and legal associations. QualificationEducation: BA LLB / LLBExperience: Minimum 5-7 years of proven experience in Nepalese corporate law,preferably in large industrial/manufacturing groups. Strong knowledge of labor law, corporate governance, contract law, industrial disputeresolution, and regulatory compliance. Proven track record in handling high-value legal cases and negotiations. Excellent drafting, analytical, and negotiation skills.
