Legal Advisor – Investment Management Fund | SandtonAn investment management fund with a global presence is seeking a Legal Advisor to join their team in Sandton. The company advises a private credit fund specializing in project and trade finance transactions across Africa and other emerging markets.This is an excellent opportunity for a recently admitted attorney or associate with experience in banking and finance, project finance, or cross-border transactions who wants to move in-house and work directly on live deals.Key Responsibilities1. Legal and Transactional SupportDraft, review, and negotiate legal documentation, including NDAs, participation agreements, service provider contracts, corporate resolutions, and letters of demand.Draft, vet, and negotiate finance and security agreements, term sheets, and related documentation under South African, English, or other applicable jurisdictions.Support all stages of trade and project finance transactions — from deal initiation, approval, and negotiation through to financial close and post-close monitoring.Prepare and maintain conditions precedent (CP) lists, manage timelines, and coordinate the closing process.Liaise with external counsel on implementation, enforcement, and any litigious matters as required.2. Regulatory and ResearchResearch and interpret relevant legislation, and prepare written reports or recommendations for management and portfolio teams.Advise on FICA, POPIA, exchange control, and other regulatory compliance matters.Support risk and governance processes, ensuring all documentation aligns with internal policy and external legal requirements.3. Corporate Legal and GovernanceAssist in the development of corporate legal strategy and internal policies.Provide legal input on business operations, portfolio transactions, and fund structures.Manage company secretarial tasks such as board and shareholder resolutions and statutory records.RequirementsBA / BCom Law degree with LLB.Admitted Attorney of the High Court of South Africa (or awaiting admission).Completed legal articles.Legal experience in banking and finance, trade finance, or project finance.Strong drafting, analytical, and research skills.Confident communicator, comfortable working directly with clients and portfolio managers.Pro-active, detail-oriented, and deadline-driven with excellent organisational skills.Proficient in Microsoft Word and Outlook.LocationSandton, Johannesburg (On-site role within a collaborative, professional team environment.)If you have experience supporting complex finance transactions and want to join a high-growth fund environment where legal and commercial work meet, please send your CV or reach out directly to arrange a short introductory call.
