Legal Counsel

MTM Partners is an independent management consulting firm based in Luxembourg.On behalf of our client, a well-established management company based in Luxembourg, we are looking for a Senior Legal Counsel with extensive knowledge in Investment Funds to join their Legal and Compliance team. The successful candidate will have a proven track record in fund structuring and regulatory matters, with the ability to manage negotiations with investors and external stakeholders.Role ***Luxembourg work permit only***Draft and review legal documentation relating to the structuring of unregulated Alternative Investment Funds (AIFs).Review, draft and negotiate a broad range of contracts, including side letters with investors, LPA’s, Prospectuses, etc.Actively participate in negotiations with investors and external advisors.Provide legal support on matters relating to the activities and regulatory obligations of a management company.Ensure compliance with applicable Luxembourg legal and regulatory frameworks. ProfileUniversity degree in Law; additional professional qualifications considered an asset.Minimum of 5 years’ relevant professional experience, ideally acquired in a leading international law firm or within a management company.Strong knowledge of Luxembourg investment fund regulations and management company activities.Familiar with LPA’s, prospectuses, side letters, MFN processExcellent drafting, analytical and negotiation skills.Ability to work autonomously while collaborating effectively within a team.Fluency in English is required; French or other European languages would be considered an asset. OfferAn opportunity to join a growing and international management company.A senior-level role with direct exposure to fund structuring and investor negotiations.A professional and collaborative working environment. If you are an experienced legal professional seeking to further develop your career within the Luxembourg funds industry, we invite you to submit your application to jobs@mtmpartners.lu.
