Job Description

To support the Chief Legal Officer in the supervision of the legal team and the proper performance of all assigned tasks.Provide sound legal advice/counsel to senior executives on all legal aspects to support the Group in achieving its business objectives, goals and operating business plans in a professionally authoritative, timely and cost effective manner. Plan, direct, and monitor the performance of the legal function and administer due diligence in respect of negotiations, preparation of contracts, investment / joint venture agreements to support the business objectives of the Group. Draft and administer articles of association, by-laws, statues and other legal documents and instruments; assure registration of legal documents with the pertinent authorities with the view to sustain the business objectives and strategies of the Group. Provide leadership and/or support the Senior management of the Group in leading/conducting negotiations with joint venture partners and other parties to progress the business. Provide leadership and conduct due diligence on setting up corporate structures; prepare / draft agreements / contracts with joint venture partners, project and transaction related parties, specialized consultants, etc. In collaboration with the Senior management, Chief Legal Officer, and other relevant senior executives, administer the timely resolution of legal problem areas; guide and administer transaction and arbitration processes as maybe required. Administer the resolution of legal disputes through litigation, if required. Conduct survey to establish contacts with and seek knowledge and advice from local / international law firms. Conduct due diligence and propose the selection of outside legal counsel to assist in the furtherance of the Group’s interests and protection of its legal rights through authoritative advice on applicable law and relevant government regulations. Review legal documents, transactions and contracts; draft and / or outsource drafting petitions, agreements and / or joint venture agreements to aid the progress of the business. Review documentation related to structuring of initial capitalization and ongoing corporate financing transactions. Prepare, follow-up and update the appropriate “Legal Structure” for planned business expansions in relevant jurisdictions. Propose initiatives and execute approved plans to build capability within the legal function and prosecute best legal practice administration and strategies to augment the department’s performance and effectiveness in the furtherance of the Group’s interests. Demonstrates a ‘can do’ attitude and willingness / ability to think outside the box. Qualification for the role: LLB undergraduate degree; A Master’s degree will be an added advantage.Legal, managerial, Corporate / M&A backgroundProfessional training from within a common-law legal system - essential Middle East transactional experience - essentialFluent English - written and spoken as a first language - essential
