Top 100 Law Firm Position: Corporate ParalegalPractice: Mergers and Acquisitions Location: LA Hybrid Compensation: $100,000 - $130,000TransactionsCreate and update checklists (check in new documents, change status, etc.)Draft transactional documents including resolutions, opinions, joinders, Secretary's certificates, Incumbency certificates, and other legal documentsRun, order and summarize UCC, state and federal lien, judgment, litigation, and bankruptcy searchesReview and analyze the sufficiency of documentationOrder good standing certifications and certified chartersManage and organize due diligence materialsCreate signature packets and coordinate their execution (both original and PDF) by multiple parties; Prepare and circulate closing documents to all parties for their review and commentsAssemble fully executed closing documents (both original and PDF) with related exhibits, schedules, and attachmentsManage/oversee the creation of transactional closing sets or binders and CDs (electronic format) and distribute to appropriate partiesMerger and AcquisitionPrepare withdrawal and qualification documents in accordance with all state, local, and federal laws and regulations for conducting businessPrepare stock certificates, legend, and backing sheetsDraft shareholder and board consentsDraft and file amendment certificates for corporation or Limited Liability CompaniesDraft, assemble and track signature packetsManage/oversee the preparation of closing sets, binders and CDs (electronic format) and other post-closing deliverables; distribute to appropriate partiesEntity FormationArticles of organization, operating agreements, consents, qualification documentsConduct name availability and reserve entity name if requiredDraft subscription agreements, stock certificates, stock powers and related documentsPrepare SS-4 form and apply for Employer ID NumberCoordinate execution of consent forms for using service companies as Registered AgentInterface with the Corporate Maintenance Team to transition annual maintenance tasks and send them documents for minute book creation and maintenanceQualifications & Required Experience:Bachelor's degree is requiredABA-approved paralegal certificate is preferredAt least 3 years of paralegal or related experience involving transactional a matters requiredPosition also requires the ability to work under pressure to meet strict deadlines.
