Position: Commercial Legal & Contracts SpecialistLocation: Dubai (Hybrid)Industry: FMCG Distribution, Toys, Sports, & Consumer GoodsWe are seeking a Commercial Legal & Contracts Specialist to manage, draft, review, and negotiate contracts with retailers, licensors, distributors, suppliers, factories, and other relevant parties. This role combines legal drafting with commercial awareness and requires someone who is detail-oriented, organised, and proactive in protecting the company’s interests.🎯 Key ResponsibilitiesContract Drafting & ReviewDraft and review commercial agreements: distributor contracts, retail supply agreements, brand licensing, NDAs, vendor agreements, employment contractsEnsure all contracts include correct clauses: exclusivity, territories, product listing, liabilities, IP protection, pricing structures, marketing rights, data protection, and jurisdictionNegotiation SupportSupport and prepare commercial negotiation proposals with retailers, vendors, factories, licensors, landlords, etc...Recommend risk-mitigation clauses and ensure legal consistency in all negotiationsContract Management & TrackingTrack all contract renewal and expiry dates, including distributor agreements, brand licenses, employee contracts, NDAs, franchise agreements, tenancies, insurances, and compliance documentationMaintain a legal register of obligations, deadlines, approval requirements, and warranties to ensure no legal or commercial commitment lapsesBuild and maintain a contract library with master templates, approved clauses, and version historyTrack legal points requiring periodic updates — including certifications, license validity, product compliance obligations, jurisdictional updates, and data protection rulesTrack insurances & rental renewalsCompliance & CoordinationCoordinate with external lawyers in UAE, KSA, China when specific legal opinions or dispute matters are requiredEnsure non-disclosure, brand guidelines, territory protection, exclusivity terms, and licensing conditions are enforced
