Job Description

We are seeking a skilled and detail-oriented Corporate Lawyer with at least 5 years of professional experience in corporate law, contract drafting, and regulatory compliance. The ideal candidate will provide legal counsel to the company, ensure legal protection across operations, and support business decision-making with sound legal advice.Corporate Legal AdvisoryProvide legal advice to senior management on business decisions and corporate matters.Ensure company compliance with local, federal, and international laws.Draft, review, and negotiate commercial agreements, MoUs, NDAs, vendor contracts, employment agreements, and service-level agreements.Regulatory & ComplianceStay updated with relevant corporate laws, employment laws, tax regulations, data protection laws, and industry-specific guidelines.Handle compliance audits and ensure adherence to internal and external regulatory standards.Liaise with regulatory authorities and government departments on legal matters.Contract & Documentation ManagementPrepare, vet, and finalize legal documents, policies, and contracts.Maintain proper documentation of all legal files and records.Advise on contract risks, terms, and mitigation strategies.Corporate GovernanceSupport Board of Directors and senior leadership in governance matters.Assist in preparing board resolutions, corporate filings, and annual reports.Ensure proper corporate record-keeping and secretarial compliance.Dispute Resolution & Litigation SupportManage and respond to legal notices and disputes.Coordinate with external legal counsel for litigation cases.Prepare case summaries and legal briefs when required.Risk ManagementIdentify potential legal risks across operations and recommend preventive strategies.Draft and implement internal company policies to minimize risk.Cross-Department CollaborationWork closely with HR, Finance, Operations, and Sales teams to provide legal support.Conduct legal training sessions for internal staff when needed. Required Skills & QualificationsLLB/LLM degree from a recognized university.Minimum 5 years of experience in corporate law, preferably in the corporate sector.Strong understanding of UAE corporate laws Expertise in drafting, reviewing, and negotiating contracts.Excellent research, problem-solving, and analytical skills.Strong communication and presentation abilities.High attention to detail and strong ethical standards.Ability to work under pressure and manage multiple tasks. Preferred QualificationsExperience with mergers & acquisitions, joint ventures, or investment agreements.Knowledge of data protection regulations (GDPR, PDPL, etc.).Experience working with multinational or technology-based companies.
