Job Title: Legal Consultant (1-Year contract)Location: GreenYellow PhilippinesJob Description:The Legal Consultant will oversee and guide the company’s legal and compliance functions, providing strategic advice, ensuring regulatory compliance, and supporting risk mitigation across the organization. This role will manage a wide range of legal responsibilities, including contract negotiation, corporate governance, policy review, and regulatory liaison. The successful candidate will be skilled in corporate law, compliance, and risk management, with experience working collaboratively with cross-functional teams.Key Responsibilities:1. Contract and Agreement Management:Lead and actively participate in negotiations with customers, partners, suppliers, and contractors.Supervise the review and compliance of all company contracts and agreements, including but not limited to Power Purchase Agreements (PPA), Engineering, Procurement, and Construction (EPC) Contracts, leasing agreements, mergers & acquisitions (M&A), financing and refinancing arrangements, MOUs, Share Purchase Agreements (SPA), and loan agreements.2. Regulatory and Government Liaison:Develop and maintain strong relationships with local authorities, such as the Board of Investments (BOI), and other regulatory bodies to ensure the company’s compliance with all relevant laws and regulations.Actively monitor, assess, and prepare the company for upcoming market regulations and guidelines.3. Cross-Functional Risk and Compliance Support:Work with teams across the organization (Commercial, Finance, Operations, and other business units) to identify, mitigate, and manage legal and regulatory risks for business activities, projects, and transactions.Lead the rollout of compliance policies initiated by the Group Ethics & Compliance function, conduct active monitoring, and ensure regular reporting on compliance activities.4. Policy Review and Governance:Evaluate and enhance corporate policies and governance practices to align with local regulations and minimize legal risks.Implement and monitor compliance with corporate governance principles to support the company's ethical and legal standards.5. Transactional and Legal Risk Assessment:Review and evaluate transactions and agreements to identify and mitigate legal risks, offering strategic advice to the management board and functional teams to facilitate informed commercial decisions.6. Documentation and Records Management:Ensure that all corporate and legal documents are up-to-date, organized, and compliant with relevant regulations.7. Other Responsibilities:Provide solutions for business-related legal matters that balance practicality with regulatory compliance.Perform additional tasks as assigned by the management board.Qualifications:Education: Master’s Degree in Law; certification as a licensed attorney preferred.Professional Experience:Minimum of 8 years of experience in legal and/or compliance roles, with experience in a reputable law firm.Proven background in corporate law, including compliance, contract management, and corporate governance.Skills and Competencies:Legal Knowledge: In-depth understanding of Philippine laws and regulations, including corporate governance, contract law, and compliance standards.Communication: Excellent written and verbal communication skills in EnglishAnalytical Ability: Highly analytical with a strong attention to detail and pragmatic approach to legal issues.Project Management: Strong planning and organizational skills with the ability to handle multiple projects in a fast-paced environment.Cross-Functional Collaboration: Experience working collaboratively with various teams to solve complex legal challenges.Relationship-Building: Proven ability to build and maintain strong relationships with regulatory authorities and key stakeholders.Preferred Qualities:High ethical standards and integrity.Business acumen and proactive approach to compliance and risk management.Ability to work independently and under pressure to meet deadlines and requirements.
